1. ACCEPTANCE OF TERMS

接受條款

1.1 The following Terms of Use govern youraccess and use of the merchant self-application service offered by AlipayPayment Services (HK) Limited (“AlipayHK”, “us” or “we”) and its affiliates (“MerchantService”), at the request of your nominating merchant (“Merchant”). Youacknowledge that you have read these Terms of Use prior to your use of theMerchant Service. By accessing orusing the Merchant Service, you are agreeing to theseTerms of Use. You are responsible forregularly checking the current Terms of Use.If youdo not accept all of the terms and conditions, please do not continue with the applicationprocess.

以下使用條款約束您連接及使用Alipay Payment Services (HK) Limited（“AlipayHK”，“我們”或“我們”）及其關聯方因應您的提名商戶（“商戶”）要求所提供的商戶自助申請服務（“商戶服務”）。您確認在使用商戶服務之前已閱讀這些使用條款。您透過連接或使用商戶服務，即表示您同意這些使用條款。您有責任定期查閱當前的使用條款。如果您不接受所有條款和細則，請停止進行註冊。

1.2 We may amend these Terms of Use at any timeby posting an updated version. The updated version of these Terms of Use shalltake effect immediately upon posting. Your continuous use of the MerchantService constitutes confirmation that you agree to be bound by these Terms ofUse as may be amended from time to time.

我們可能通過發佈更新版本隨時修改這些使用條款。這些使用條款的更新版本將在發佈後立即生效。您持續使用商戶服務即表示您同意接受這些可能會不時修訂的使用條款之約束。

2. AUTHORISATION BY MERCHANT

商戶授權

2.1 The Merchant Service allows you to provideand upload information relating to the Merchant, give instructions on behalf ofthe Merchant, and use such other facilities as we shall make available fromtime to time.

商戶服務允許您提供及上載與商戶相關的信息，代表商戶發出指令，和使用我們將不時提供的其他設施。

2.2 By accessing or using the Merchant Service,you confirm that you are duly and validly authorized by the Merchant to access anduse the Merchant Service, provide and upload information relating to themerchant, and give instructions relating to the Merchant Service (including,but not limited to, instructions regarding service fees and refunds) on itsbehalf (“Authorization”).

連接或使用商戶服務，即表示您確認您已獲得商戶的正式和有效授權連接及使用商戶服務、提供及上載與商戶相關的信息、和代表商戶發出與商戶服務有關的指令（包括但不限於有關服務費和退款的指令）（“授權”）。

2.3 Any communications addressed to you by usin relation to the Merchant Service is deemed to have been addressed to theMerchant. Similarly, any of yourcommunication and/or action through the Merchant Service will be legallybinding on the Merchant and we will be entitled to assume as much.

我們就商戶服務向您發送的任何通訊均視為已向商戶發送。同樣，您通過商戶服務進行的任何溝通和/或行動將對商戶具有法律約束力，而我們將有權作出如斯假設。

2.4 We reserve the right to limit or suspend youraccess anduse of the Merchant Service upon the Merchant’s instructions, or if we believein our sole discretion that the Authorization is invalid or has been withdrawnby the Merchant.

我們保留權利根據商戶指令，或我們自行決定授權無效或已被商戶撤回的情況下，限制或暫停您連接或使用商戶服務。

3. APPLICATION

3.1 You are responsible for providing accurate applicationinformation and for keeping your application information up to date in theevent of changes. We may verify your application information and such otherinformation as deemed appropriate by us. You agree to provide all necessaryinformation and render all reasonable assistance and cooperation that we mayrequire in order to complete the verification. The information you provide willbe used to determine if the Merchant is eligible to begin and/or continue to accessor use the AlipayHK payment services.

您有責任提供準確的申請資料，並在有所變更時確保您的申請資料是最新的。我們可能會驗證您的申請資料以及我們認為適當的其他資料。您同意提供所有必要資料並提供我們可能需要的所有合理協助和合作，以便完成驗證。您提供的資料將用於確定商戶是否有資格開始和/或繼續連接或使用AlipayHK收款服務。

3.2 Applications submitted through the MerchantService will be subject to our review and approval (including, withoutlimitation, verification of the information submitted), and the AlipayHKpayment services will be subject to a separate agreement to be entered into bythe parties. Your successful submissionof an application does not guarantee that the application will be approved byAlipayHK. We reserve the right to limit or suspend the Merchant’s access anduse of the Alipay payment services in the event we are unable to obtain orverify all relevant information.

透過商戶服務提交的申請須通過我們的審批（包括但不限於核實已提交的資料），而AlipayHK收款服務亦將受雙方另行簽署的協議約束。請注意，商戶成功提交申請並不代表該申請一定會被AlipayHK批核。如果我們無法獲取或驗證所有有關的資料，我們保留限制或暫停商戶連接和使用AlipayHK收款服務的權利。

5. YOUR RESPONSIBILITIES

您的責任

5.1 You will use the Merchant Service inaccordance with the Merchant’s instructions. We may treat all apparently valid instructions and information receivedthrough the Merchant Service as instructions and information properlyauthorized by the Merchant.

您將根據商戶的指令使用商戶服務。我們可以將通過商戶服務收到的所有表面上有效的指令和資料視為商戶正確授權的指令和資料。

5.2 You will use the Merchant Service in goodfaith and in compliance with all applicable laws and regulations. The information and material you provide inconnection with the use of the Merchant Service must be true, lawful andaccurate, and is not false, misleading or deceptive.

您將真誠地使用商戶服務，並遵守所有適用的法律和法規。您提供的與使用商戶服務相關的資料和材料必須真實、合法且準確，並且不得為虛假、具有誤導或欺騙性。

5.4 You shall not use the Merchant Service todefraud us, our affiliates or other members or users, or service providers, orengage in any illegal activities or in a manner that may result in complaints,disputes, claims, penalties or other liability to us, other users or thirdparties or may be regarded as an abuse of the Merchant Service.

您不得使用商戶服務向我們、我們的關聯方或其他成員或用戶、或服務提供商作出欺詐，或從事任何非法活動或以可能導致我們、其他用戶或第三方遭受投訴、爭議、索賠、處罰或其他責任，或可能被視為濫用商戶服務之行為。

5.5 If we, in our sole discretion, believe thatyou may have engaged in the above restricted activities, we may suspend orrestrict your access and use of the Merchant Service, or terminate thisAgreement and refuse to provide access and use of the Merchant Service to youand/or the Merchant. We may also place ahold on the balance in the Merchant’s AlipayHK Account if reasonably needed toprotect against the risk of liability, or take legal action against you and/orthe Merchant.

如果我們自行酌情決定認為您可能參與了上述被限禁活動，我們可能會暫停或限制您連接及使用商戶服務，或終止本協議並拒絕向您和/或商戶提供商戶服務。如果因有合理需要以保護我們免受責任風險，我們可能會凍結商戶AlipayHK帳戶的餘額，或以向您和/或商戶採取法律行動。

6. LIMITATION OF SERVICE

Notwithstanding any limitations describedelsewhere in these Terms of Use, we may establish general practices and limitsconcerning use of the Merchant Service. We reserve the right to change, suspendor discontinue any aspect of the Merchant Service at any time, including hoursof operation or availability of the Merchant Service or any Merchant Servicefeature, without notice and without liability. We also reserves the right toimpose limits on certain Merchant Service features or restrict access and use ofsome or all of the Merchant Service features without notice and withoutliability.

7. INDEMNIFICATION

You agree to continually indemnify AlipayHK andour affiliates and our employees, directors, officers, agents andrepresentatives and to hold them harmless, from any and all losses, damages,actions, claims and liabilities (including legal costs on a full indemnitybasis) which may arise, directly or indirectly, from your use of the MerchantService or from your breach of these Terms of Use. AlipayHK reserves the right,at our own expense, to assume the exclusive defense and control of any matterotherwise subject to indemnification by you, in which event you shall cooperatewith AlipayHK in asserting any available defenses.

您同意持續彌償AlipayHK和我們的關聯方及我們的僱員、董事、職員、代理人和代表，使其免受所有可能由您使用商戶服務或您違反這些使用條款直接或間接引起的損失、損害、訴訟、索賠和責任（包括全額彌償的法律費用）。AlipayHK保留對您所需要彌償的任何事項自費採取獨家辯護和控制之權利，而在這種情況下，您必須與AlipayHK合作，主張所有可用的抗辯。

8. SUSPENSION OR BREAKDOWN OF SYSTEMS

系統暫停或故障

If you are unable to use the Merchant Serviceas a result of improper operation of the systems due to any of the followingreasons, you agree that you and the Merchant will not hold AlipayHK and ouraffiliates liable for:

如果由於以下任何原因造成系統操作不當而導致您無法使用商戶服務，您同意您和商戶不會追究AlipayHK及我們的關聯方負責：

(a) System suspension (whether or not suchhas been planned or announced by AlipayHK in advance); or

系統暫停(無論是計劃內或AlipayHK已提前公佈與否); 或

(b) Failure in data transmission and systemoperations due to Force Majeure Event. For the avoidance of doubt, “Force Majeure Event” means an event that is notforeseeable, the consequence of which cannot be prevented or avoided and beyondthe reasonable control of AlipayHK other than due to its fault or negligence,which includes, without limitation to, acts of god, fire, computer virus,defect in design of instrumental software, attack by hacker, change in laws orpolicies, major outages of a telecommunication carrier’s network connections,interface incidents of partner banks and financial institutions, gatewayincidents of mobile carriers, unexpected incidents resulting from changes inusers’ systems, unexpectedly large increases in traffic volume, andgovernmental authority intervention that results in the seizure or confiscationof platform or systems, in each case to the extent used in or necessary for theavailability of the Merchant Service and only to the extent such event(s) arebeyond the control of the affected party and only for as long as such event(s)persist.

因不可抗力事件導致的數據傳輸和系統操作失敗。為免生疑問，“不可抗力事件”是指不可預見的事件，其後果不能防止或避免，亦超出AlipayHK的合理控制而並非由於其過失或疏忽，其中包括但不限於上帝的行為、火災、電腦病毒、工具軟件設計缺陷、駭客攻擊、法律或政策變更、電信運營商網絡連接的重大中斷、伙伴銀行和金融機構的接口問題、移動運營商的網關問題、用戶系統變化導致的意外事件、交通量出乎意料地大幅增加，以及因政府機構而導致扣押或沒收平台或系統之干預，在每種情況下，均僅在商戶服務可用的範圍內或必要的範圍內，並且僅在此類事件超出受影響方控制範圍，而只有在此類事件持續存在的情況。

9. DISCLAIMER AND LIMITATION OF LIABILITY

免責聲明和有限責任

9.1 You agree that all risks and liabilitiesarising from your use of the Merchant Service will be jointly and severallyborne by you and the Merchant.

您同意由您使用商戶服務產生的所有風險和責任將由您和商戶共同及各別承擔。

9.2 AlipayHK makes no warranty regarding theMerchant Service under this Agreement, including but not limited to: (a) theMerchant Service features will meet your requirements; (b) the Merchant Serviceavailability will be uninterrupted, timely or error free; or (c) any products,information or material obtained by you in connection with the Merchant Servicewill meet your requirements.

AlipayHK對本協議下的商戶服務不作任何保證，包括但不限於：（a）商戶服務功能將滿足您的要求; （b）商戶服務的可用性不中斷、商戶服務及時或沒有錯誤;或（c）您獲得的與商戶服務有關的任何產品、資料或材料將滿足您的要求。

9.3 Except as expressly provided in these Termsof Use and to the full extent permitted by law, the Merchant Service isprovided "as is", "as available" and “with all faults”. Allsuch warranties, representations, conditions, undertakings and terms, whetherexpress or implied, are hereby excluded.

除非本使用條款中明確規定，並且在法律允許的最大範圍內，商戶服務按“現狀”、“現有”和“含一切錯誤”的基礎上提供。所有保證、陳述、條件、承諾和條款(不論明示或暗示)特此排除。

9.4 To the full extent permitted by law,AlipayHK and our affiliates shall not be liable for any indirect,consequential, incidental, special or punitive damages, or for loss of profitsor revenues, business interruption, loss of business opportunities, loss ofdata or loss of other economic interests, whether in contract, negligence, tortor otherwise, arising from your use of or inability to use the MerchantService.

在法律允許的最大範圍內，AlipayHK及其關聯方均不會依據任何無論是合同、疏忽、侵權或其他方式對任何因使用或無法使用商戶服務而導致的間接、衍生、附帶、特別或懲罰性的損害賠償，或就利潤或收入的損失，業務中斷，商業機會的喪失，數據遺失或其他經濟利益損失承擔任何法律責任。

10. GENERAL

一般情況

You agree that these Terms of Use and allmatters relating to your access to or use of the Merchant Service, includingall disputes, will be governed by and construed in accordance with the laws ofthe Hong Kong Special Administrative Region.

您同意這些使用條款以及與您連接或使用商戶服務有關的所有事項 (包括所有爭議) 均受香港特別行政區法律管轄並按其解釋。
