Payment Service Agreement
支付服务协议（以下简称“本协议”）是支付宝（中国）网络技术有限公司（以下简称“支付宝”）、淘宝平台经营者、集分宝南京企业管理有限公司（以下简称为“集分宝企业”）、集分宝南京商务服务有限公司（以下简称为“集分宝商务”）、浙江网商银行股份有限公司（以下简称为“网商银行”）、支付宝境外关联方包括但不限于Alipay US, Inc.（“支付宝美国”）与用户（以下简称“您”）就支付服务、集分宝服务、信用卡支付、国际支付、花呗收款服务、“账户余额+”收款服务（以下单独或合并称为“本服务”）的使用事项所订立的有效合约。您通过网络页面点击确认或以其他方式选择接受本协议，即表示您与支付宝、淘宝平台经营者、集分宝企业、集分宝商务、网商银行以及支付宝境外关联方包括但不限于支付宝美国已达成协议并同意接受本协议的全部约定内容。
This Payment Service Agreement(hereinafter referred to as the "Agreement") by and between Alipay.Com Co., Ltd (hereinafter referred to as "Alipay"), the Taobao platform operator, Jifenbao Nanjing Enterprise Management Co., Ltd.(hereinafter referred to as "Jifenbao Enterprise"), Jifenbao Nanjing Business Service Co., Ltd. (hereinafter referred to as "Jifenbao Business"), Zhejiang E-Commerce Bank Co., Ltd. (hereinafter referred to as"MYbank"), Alipay’s overseas affiliates including but not limited to Alipay US, Inc.(“Alipay US”) and the user (hereinafter referred to as"you") is a legally effective contract on the usage of payment services, Jifenbao services, credit card payment, international payment, Huabei Collection service, "account balance+" collection service (hereinafter individually or collectively referred to as "the services"). Your click to confirm on the web page or by other means choose to accept this Agreement represents that you, Alipay, the Taobao platform operator, Jifenbao Enterprise, Jifenbao Business, MYbank and Alipay’s overseas affiliates including but not limited to Alipay US have reached an agreement and accepted all terms and conditions provided herein.

Please read the entire contents of this Agreement carefully before accepting it (with special emphasis on the bold and underlined content). If you do not agree with any terms and conditions of this Agreement, or cannot understand the meaning of any terms of this Agreement, please do not confirm or proceed. If you have any questions on the terms and conditions of the Agreement, please contact the customer service staff of service providers to explain the terms to you.
您同意，支付宝、淘宝平台经营者、集分宝企业、集分宝商务、网商银行、支付宝境外关联方有权随时对本协议内容进行单方面的变更，并以在支付宝网站（www.alipay.com）或者淘宝平台经营者网站（包括但不限于taobao.com或tmall.com或alitrip.com或etao.com或ju.taobao.com或95095.com）上公告的方式提前予以公布，无需另行单独通知您；若您在本协议内容公告变更生效后继续使用本服务的，表示您已充分阅读、理解并接受变更修改后的协议内容，也将遵循变更修改后的协议内容使用本服务；若您不同意变更修改后的协议内容，您应在变更生效前停止使用本服务。
You agree that Alipay, the Taobao platform operator, Jifenbao Enterprise, Jifenbao Business, MYbank and Alipay’s overseas affiliates have the right to make a unilateral modification to the terms of the Agreement at any time. The modification can be made after the announcement is posted on the Alipay website (www.alipay.com) or the Taobao platform (including but not limited to taobao.com or tmall.com,alitrip.com,etao.com,ju.taobao.comor 95095.com) in advance without further notice to you. If you continue to use the services after the agreement modification announcement became valid, it will be construed as that you havefully read, understand and accept the entirety of modified Agreement. If you do not agree to the modified Agreement terms, you shall stop using the services before such modification takes effect.
一、定义
I. Definitions
1. 支付服务（又称“基础支付服务”）：指支付宝向您及您的客户所提供的“支付宝”软件系统及其附随提供的款项代收代付服务（不包括信用卡支付服务、国际支付服务、花呗收款服务），包括余额支付、余额宝支付、借记卡快捷支付，具体以服务提供者届时提供的服务为准。
1. Payment services (also called"basic payment services"): refers to the collection and payment services provided by Alipay with Alipay software system and other affiliate systems to you and other customers, including the balance payment, Yu’E Bao payment, and debit card express checkout (but excluding credit card payment,international payment,Huabei collection service). The specific services are subject to the services provided by the service provider.
2. 借记卡快捷支付：指持卡人（下文或称“买家”）向支付宝系统提交银行借记卡信息并付款，由支付宝完成代收代付的服务。
2. Debit card express checkout: refers to the cardholders (hereinafter referred to as the "Buyer") providing the data of debit card to Alipay system to allow Alipay to make collections and payments on behalf of them.
3. 信用卡支付：含信用卡快捷支付和信用卡大额网银支付。信用卡快捷支付指持卡人（下文或称“买家”）向支付宝系统提交银行信用卡信息并付款，由支付宝完成代收代付的服务。信用卡大额网银支付指买家通过支付宝的服务跳转对应银行的网上银行进行付款操作，由支付宝完成代收代付的服务。开通信用卡支付的，您的天猫店铺将被相关标志标识。
3. Credit card payment: includes credit card express checkout and credit card large-amount online banking payment.Credit card express checkout refers to the cardholders (hereinafter referred to as the "Buyer") providing the data of credit card to Alipay system to allow Alipay to make collections and payments on behalf of them. Credit card large-amount online banking payment refers to the Buyer jumps to the online banking system of corresponding bank from Alipay to allow Alipay to make collections and payments on behalf of them. Tmall store enabled credit card payment will be marked with relevant logo.
4. 国际支付：指买家通过支付资金流和/或信息流经中国大陆境外机构处理的支付工具向您付款，由支付宝完成代收代付的服务。
4. International payment: refers to the settlement of capital flows and/or information through organizations outside the borders of mainland China, and Alipay processes and completes the collection and payment.
5. 花呗收款：指买家在线使用花呗服务进行付款，由支付宝完成代收代付的服务。花呗：指通过支付宝关联方与适格机构为支付宝用户提供的消费金融服务。花呗服务的营销名称可能因服务方业务变化、运营需要等而被调整，具体以服务方实际展示的名称为准。
5. Huabei Collection: refers to the service where buyers use the Huabei collection service online to pay and entrust Alipay to complete collection and payment services. Huabei:means the consumer financial services provided by Affiliates of Alipay and other qualified institutions to Alipay users. The marketing name of the Huabei service may be adjusted due to the service provider's business changes, operational needs, etc., and shall be subject to the name actually displayed by the service provider.
6. 交易流量（交易款项）：指由支付宝/淘宝平台经营者软件系统所统计的您通过其选定服务类型使用支付服务所完成交易的金额（包括但不限于货款、运费等）。交易流量将作为支付宝向您收费的依据。
6. Transaction Volume (Transaction Value):refers to the Alipay or Taobao statistics of the transactional amounts for completed transactions in the payment services (including but not limited to the payment for goods, freight, etc.). Alipay will charge you the fee based on the transaction volume.
7. 服务费用：指您因使用本服务而须向支付宝支付软件服务费。该服务费用依据交易流量（交易款项）及本协议中支付宝向您明示的费率确定。
7. Service fee: refers to the amount you pay Alipay for using their software. The service fee is calculated based on the transaction volume (transaction funds) and the fee rate of Alipay stated in the Alipay Service Agreement.
8. 非授权交易：指买家未经过银行卡（含借记卡、信用卡等）持卡人或支付宝账户持有人授权，使用该银行卡或支付宝账户与您直接通过本服务完成的交易。
8. Unauthorized transactions: refers to where a Buyer who has not obtained authorization from the cardholder (including debit cards and credit cards) or the Alipay account owner, who uses the bank card or Alipay account to make a transaction directly through this service.
9. “套现”交易：指您与买家通过虚构交易、虚开价格、现金退货等方式向买家直接支付现金。“套现”交易包括但不限于通过信用卡套现、通过花呗收款套现。
9. "Cash out" transactions: refers to your use a fictional transaction, fictional price, cash return or other methods to directly cash out for funds with a Buyer. "Cash out" transactions including but not limited to using credit cards or using Huabei Collection service to cash out.
10. 集分宝服务：本协议项下是指集分宝企业及集分宝商务向根据本协议约定及集分宝相关规则提供的集分宝产品及服务。
10. Jifenbao service: according to this Agreement, Jifenbao service refers to the products and services provided by Jifenbao Enterprise and Jifenbao Business based on the terms and conditions of this Agreement and Jifenbao.
11. “账户余额+”收款服务：指基于您与买家达成的订单，为提高买家付款体验，您可通过网商银行向您提供的应收账款回收服务代收相应货款。
11. "Account balance+" collection service: refers to the receivables collection service provided by MYbank based on the orders you completed with the Buyer, improving the payment experience of users.
12. 淘宝平台经营者：指法律认可的经营该平台网站的责任主体，有关淘宝平台经营者的信息请查看各家淘宝平台首页底部公布的公司信息和证照信息。“淘宝平台”指由淘宝运营的网络平台，包括但不限于淘宝网，域名为taobao.com；天猫，域名为tmall.com；飞猪网，域名为alitrip.com、fliggy.com、feizhu.com；一淘网，域名为etao.com；聚划算，域名为ju.taobao.com；95095医药平台，域名为95095.com；闲鱼平台，域名为goofish.com。前述主体可单称或统称为淘宝平台经营者。
12. Taobao platform operator: refers to the legal entity responsible for the business of the platform website. For information about the Taobao operator, please see the company information and license information disclosed at the bottom of the homepage of each Taobao platform. "Taobao platform": refers to the network platforms operated by Taobao, including but not limited to Taobao (domain name: taobao.com), Tmall (domain name: tmall.com), Fliggy (domain names: alitrip.com, fliggy.comand feizhu.com), Etao (domain name: etao.com), Juhuasuan (domain name: ju.taobao.com) ,95095 medicine platform(domain name: 95095.com)，and Goofish platform (domain name: goofish.com). The above entities can be individually or collectively referred to as Taobao platform operator.
13. 服务提供者：向您提供支付服务、集分宝服务、信用卡支付服务、国际支付服务、花呗收款服务的提供者。该等提供者可单独或合并称为“服务提供者”。
13. Service provider: refers to the providers offering payment service, Jifenbao service, Huabei Collection service, international payment service and Huabei Collection service to you. The above providers can be individually or collectively referred to as"service provider".
二、基础支付服务
II. Payment Service
就基础支付服务涉及的权利义务由您与支付宝做如下特别约定：
The rights and obligations regarding the payment service between you and Alipay are subject to the following agreement:
1. 您知晓并同意，您接受本协议即代表您向支付宝申请使用基础支付服务。支付宝有权根据风险防范等需要拒绝您的申请。支付宝未向您开通支付服务即代表拒绝了您的申请。在此情形下，您与支付宝未就基础支付服务建立合作。
1. You acknowledge and agree that your acceptance of this Agreement constitutes an application to Alipay to use the basic payment service. Alipay reserves the right to reject your application based onthe risk prevention and other requirements. If the payment service is not enabled for you by Alipay, it means your application is rejected. In this case, no cooperation is established between you and Alipay with regard to the basic payment service
2. 您知晓，为向您提供基础支付服务，支付宝需要了解您的经营信息，收集您在淘宝平台经营者处留存的店铺账号（平台id及对应的支付宝账号）、店铺名称、店铺状态、店铺对应支付宝账号、店铺商品数量。
You acknowledge that to provide you with basic payment services, Alipay needs to understand your business information and collect your store account number (the platform ID and the corresponding Alipay account), store name, store status, store's Alipay account number, and store product quantity that you retain on the Taobao platform operator.
3. 您同意在使用基础支付服务时，将依照《支付宝服务协议》及支付宝、淘宝平台网站上不时公布的规则履行义务并享有权利。就支付服务使用的专项约定优先适用本协议约定，本协议与《支付宝服务协议》约定不一致的，以本协议为准；本协议未约定事宜，均以支付宝网站所不时公布的《支付宝服务协议》及相关附属规则为补充。
3. You agree to perform your obligationsand enjoy related rights in your use of the basic payment service in accordance with the Alipay Service Agreement and the rules published on Alipay and Taobao platform websites from time to time. The special agreement on the use of the payment service shall be subject to the terms of this Agreement. If any inconsistency exists between this Agreement and the Alipay Service Agreement,this Agreement shall prevail. Any matters not addressed under this Agreement shall be subject to the Alipay Service Agreement and relevant rules published from time to time on the Alipay website.
4. 您在使用基础支付服务时暂无须支付任何费用。
4. You will not be charged when using the basic payment service.
5.为了便于您在多种交易场景下快捷、有效地完成收款，支付宝为您提供信用卡支付、花呗收款服务。您亦可以通过服务市场等渠道取消上述服务，具体以页面发布的信息为准。
5.In order to make effective and convenient collection/payment procedure available in various kinds of transactions, Alipay provides you Huabei Collection service and Huabei Collection service. The previous payment services could be cancelled through fuwu.taobao.com, and other cancel methods are subject to any announcements issued on the relevant website.
三、集分宝服务
III. Jifenbao Service
就集分宝服务涉及的权利和义务由您与集分宝企业及集分宝商务做如下特别约定：
The rights and obligations concerning the Jifenbao service among you, the Jifenbao Enterprise and the Jifenbao Business are subject to the following agreement:
1. 您知晓并同意，您接受本协议即代表您向集分宝企业及集分宝商务申请使用集分宝服务。集分宝企业及集分宝商务有权根据风险防范等需求拒绝您的申请。如集分宝企业及集分宝商务未向您开通集分宝服务即代表拒绝了您的申请。您与集分宝企业及集分宝商务未就集分宝服务建立合作。
1. You acknowledge and agree that your acceptance of this Agreement is an application to the Jifenbao Enterprise and the Jifenbao Business for using the Jifenbao service. The Jifenbao Enterprise and the Jifenbao Business reserve the right to reject your application based on the risk prevention and other requirements. If the Jifenbao service is not enabled for you by the Jifenbao Enterprise and the Jifenbao Business, it means your application is rejected. In this case, no cooperation is established among you, the Jifenbao Enterprise and the Jifenbao Business with regard to the Jifenbao service.
2. 您同意在使用集分宝服务时，将依照本协议及集分宝企业及集分宝商务不时在淘宝平台经营者及/或支付宝网站上公布的规则履行义务并享有权利。
2. You agree to perform your obligations and enjoy related rights in your use of the Jifenbao service in accordance with this Agreement and the rules published on the Taobao platform operator and/or Alipay websites by the Jifenbao Enterprise and the Jifenbao Business from time to time.
3. 您应自行承担您与您的用户之间的所有交易风险，并自行处理所有相关的交易及货款纠纷。
3. You shall assume all the transaction risks between you and your users and settle all the transaction and payment related disputes on your own.
4. 您知晓并同意，100个集分宝可抵1元人民币。集分宝企业及集分宝商务有权随时通过在淘宝平台经营者或/及支付宝网站上发布公告变更前述抵扣标准。
4. You acknowledge and agree that 100 Jifenbao Points are equivalent to RMB 1. The Jifenbao Enterprise and the Jifenbao Business reserve the right to change the preceding deduction standard at any time by making an announcement on the Taobao platform operator or/andAlipay websites.
5. 您同意，集分宝企业及集分宝商务有权基于法律法规要求及风险防范需要而要求您提供相关材料（包括但不限于您的营业执照复印件、税务登记证复印件、税务登记证号等）。您应自收到提供通知后在合理期限内向集分宝企业及集分宝商务提供。
5. You agree that the Jifenbao Enterpriseand the Jifenbao Business have the right to require you to provide certain materials (including but not limited to, copies of your business license,copies of tax registration certificate, tax registration number, etc.) based on legal and regulatory requirements and risk prevention needs. You shall provide the aforesaid materials to the Jifenbao Enterprise and the Jifenbao Business within a reasonable period of time after receiving the notice of such provision.
6. 您保证每个月向集分宝企业开具需结算或已结算的集分宝对应金额的发票，具体开具时间为次月15日前。发票内容依据商户的经营范围开具，但备注中必须有“集分宝”字样。发票开具主体为公司全称（企业商户）或个人姓名（个人商户）。如有特殊原因且经得集分宝企业同意可延迟一个月出具。如您不按时将发票送达集分宝企业的，集分宝企业有权随时要求支付宝从您名下的支付宝账户中扣除相当于应开发票金额的30%作为违约金。
6. You guarantee that you will issue an invoice to the Jifenbao Enterprise for the amount corresponding to the Jifenbao Points to be settled or that has already been settled every month prior to the 15th of the next month. The content of the invoice shall be issued based on the business scope, but the issued invoice must contain the words"Jifenbao". The subject of the invoice shall be the company's full name (business merchant) or the personal name (individual merchant). If there are special reasons, the issuance of the invoice can be delayed for a month with the consent of the Jifenbao Enterprise. If you fail to send the invoice ontime, the Jifenbao Enterprise reserves the right to request Alipay to deduct an amount equivalent to 30% of the invoiced amount from your Alipay account as the liquidated damages.

7. 天猫点券特别条款。“天猫点券”作为天猫冠名的集分宝服务，属于集分宝的一种。如您是天猫商户，您保证每个月向集分宝商务开具需结算的天猫点券对应金额的发票，具体开具时间、开票内容及邮寄地址同本条第6项约定。集分宝商务委托淘宝平台经营者代为向您收取发票。如您不能按要求寄送发票，您同意集分宝商务有权随时要求支付宝从您名下的支付宝账户中扣取相当于开票金额的30%作为违约金。您进一步同意，淘宝平台经营者可代为向支付宝发送前述扣取指令。
7. Special provisions for Tmall Point."Tmall Point", as an Jifenbao service sponsored by Tmall, is also a kind of Jifenbao. If you are a Tmall merchant, you shall guarantee that you will issue an invoice to the Jifenbao Business for the amount corresponding to the Tmall Points to be settled. The specific time of issuance, items to be invoiced, and mailing address are as stipulated in Paragraph 6 under thisarticle. The Jifenbao Business authorizes the Taobao platform operator to collect invoices from you. If you fail to send the invoice as required, you agree that the Jifenbao Business is entitled to request Alipay to deduct an amount equivalent to 30% of the invoiced amount from your Alipay account as the liquidated damages. You further agree that the Taobao platform operator can send the aforesaid deduction instruction to Alipay.
四、“账户余额+”收款服务
IV. "Account Balance+" Collection Service
1. 服务内容
1. Service items
“账户余额+”收款服务指基于您与买家达成的订单，当买家付款受限时，由网商银行、支付宝分别为您提供如下服务，以实现货款的回收：
"Account balance+" collection service means that when the payment of a buyer is restricted, MYbank and Alipay will provide you with the following services based on your purchase order with the buyer to help you collect the payment of goods:
网商银行向您提供应收账款回收服务，您同意将您对买家的应收账款转让给网商银行，由其从订单项下的买家账户代收货款，并根据《支付宝服务协议》的约定与支付宝一同将货款划转至您的支付宝账户。
MYbank provides you with accounts receivable collection service. You agree to transfer the right of collecting accounts receivable from the buyer to MYbank, which will collect the payment from the buyer's account under the order and then transfer such payment to your Alipay account together with Alipay in accordance with the provisions of the Alipay Service Agreement.
2. 服务使用约定
2. Service usage agreement
（1）您理解并同意，是否向您提供“账户余额+”收款服务取决于支付宝、网商银行对买家付款体验的判断；
(1) You understand and agree that the provision of "account balance+" collection service depends on the judgment of Alipay and MYbank on the buyer's payment experience;
（2）您理解并同意，网商银行向您提供的服务仅限应收账款回收服务。网商银行从买家的账户中代收相应的货款并将前述款项划转至您指定的账户即视为应收账款回收服务履行完毕；
(2) You understand and agree that MYbank will only provide you with the accounts receivable collection service. Once MYbank collects the corresponding payment from the buyer's account and transfers such payment to your designated account, the accounts receivable service is deemed to be performed completely;
（3）如果买家对于该笔交易存在异议的，网商银行将根据支付宝依本协议第四条的约定对相应的货款进行处置，前述处置方式包括从您指定的账户强制退款等；
(3) If the buyer has objections to the transaction, MYbank will dispose the corresponding payment according to the terms of Article IV of this Agreement.The disposal methods include a mandatory refund from your designated account;
（4）网商银行不提供应收账款融资、催收、坏账担保等除应收账款回收之外的服务；
(4) MYbank does not provide accounts receivable financing, payment reminding, full protection against bad debts and other services other than the accounts receivable collection service.
（5）您在使用“账户余额+”收款服务时无须支付任何费用。
(5) You will not be charged when using the"account balance+" collection service.
五、信用卡支付、国际支付、花呗收款服务
V. Credit Card Payment ,InternationalPayment and Huabei Collection Service
就信用卡支付服务、国际支付服务、花呗收款服务涉及的权利和义务由您与支付宝及淘宝平台经营者做如下特别约定：
The rights and obligations regarding the credit card payment, international payment and Huabei Collection service among you, Alipay and the Taobao platform operator are subject to the following agreement:
1. 您知晓并同意，在您向支付宝申请使用相关信用卡支付、国际支付或花呗收款服务时，即代表您将依照本协议、《支付宝服务协议》及支付宝、淘宝平台经营者网站公布的规则履行义务并享有权利。
1. You acknowledge and agree that by applying to Alipay to use its credit card payment , international payment or Huabei Collection service, you agree to perform the obligations and enjoy the rights in accordance with this Agreement, the Alipay Service Agreement and the rules published on the Alipay and Taobao platform operator websites.
支付宝有权根据风险防范等需要拒绝您的申请。支付宝未向您开通相关信用卡支付、国际支付或者花呗收款服务即代表拒绝了您的申请。在此情形下，您与支付宝未就相关信用卡支付、国际支付或者花呗收款服务建立合作。在本协议有效期内，支付宝有权根据您的资质情况及风险管控等要求，调整对您提供前述服务的安排（包括暂停/恢复服务等）。
Alipay reserves the right to reject your application based on the risk prevention and other requirements. If the credit card payment service, international payment service or Huabei Collection service not enabled for you by Alipay, it means your application is rejected.In this case, no cooperation is established between you and Alipay with regard to the credit card payment service, the international payment service or the Huabei Collection service. During the effective term of this Agreement, Alipay has the right to adjust the arrangements for providing you with the aforementioned services (including suspension/resumption of services) based on your qualifications, risk control and other requirements.
2. 您理解并同意，您使用信用卡支付服务、花呗收款服务或国际支付服务须向支付宝支付软件服务费。其中，信用卡快捷支付、信用卡大额网银支付、花呗收款收取的软件服务费为单笔交易流量（即交易款项）的千分之六；国际支付服务所收取的软件服务费为单笔交易流量（即交易款项）的百分之一(如您为天猫商户（域名为：tmall.com）或飞猪网商户（域名为alitrip.com、fliggy.com、feizhu.com），则收取的软件服务费为单笔交易流量<即交易款项>的千分之八)；借记卡快捷支付暂不收取软件服务费。支付宝将从您收取的交易款项中扣取相应的软件服务费用，且该笔手续费在收取后将不因任何原因退返（包括但不限于退款）。部分淘宝平台经营者可能会为您提供相关补贴，具体以平台经营者与您的另行约定为准。
2. You understand and agree that your use of the credit card payment service , Huabei Collection service or international payment service is subject to payment of software service fees to Alipay. Among these, the credit card express checkout, credit card large-amount online banking payment, and Huabei Collection services charge the software service fee equivalent to 6‰ of the Transaction Value. The international payment services charge the software service fee equivalent to 1% of the Transaction Value; and you're a Tmall merchant (domain name: tmall.com) or a Fliggy merchant (domain names:alitrip.com, fliggy.com and feizhu.com), then the software service fee of the international payment services is equivalent to 8‰ of the Transaction Value. No software service fee is charged for debit card express checkout currently. Alipay will deduct the corresponding software service fee from the transaction amount you received, and the fee will not be returned to you for any reason (including but not limited to refund). Some Taobao platform operators may provide you with relevant subsidies, which shall be subject to the specific agreement between you and the platform operator.
3. 如您已就信用卡快捷支付、信用卡大额网银支付服务支付了相应的费用，则买家无需在使用同一信用卡支付服务向您购买商品或服务时另行支付相应的支付服务费。
3. If you have paid the service fees for the credit card express checkout or credit card large-amount online banking payment services, the buyer does not need to pay extra service fees when he/she purchases products or services from you using the same credit card paymentservice.
4. 您认可，您使用信用卡支付服务、国际支付服务、花呗收款服务的记录数据、交易金额数据均以支付宝/淘宝经营者平台软件系统记录的数据为准。
4. You acknowledge that the usage recordsof the credit card payment service ,international payment service and antcredit pay, and the transaction amount data are subject to the data recorded by Alipay/Taobao operator platform software system.
5. 您在使用信用卡支付服务、国际支付服务、花呗收款服务过程中向支付宝累计支付软件服务费达到人民币1000元及以上或本协议因任何原因终止后的15个工作日内，您可要求支付宝向您开具与开票当时您实际支付费用等额的软件服务费发票，并按您提供的地址信息以快递的方式寄送给您。
5. Within 15 working days after the software service fees you paid accumulatively to Alipay for using the credit card payment service , the international payment service and Huabei Collection service have reached RMB 1,000 or after this Agreement is terminated for any reason,you can request Alipay to issue an invoice for the amount actually paid for the software service fees and send it by express delivery to the mailing address you provided.
6. 您知晓，为了更好的持续了解您在相应电商或服务平台的整体情况， 支付宝需要从对应电子商务平台或相关服务平台（天猫、淘宝等）获取您服务准入判断结果、风控等级以及您在前述平台留存的店铺账号（平台id 及对应的支付宝账号）、店铺/卖家类型、店铺状态、主营类目、店铺评价信息。如果您是通过上述平台进行本服务的签约和申请，为保证您在该等平台使用本服务，我们会向其反馈本服务项下您的签约状态。
6.You acknowledge that to better and continuously understand your overall situation in the corresponding e-commerce or service platform, Alipay needs to obtain your service access judgment results, risk control level, and the store account number (the platform ID and the corresponding Alipay account), store/seller type, store status, main business category, and store evaluation information that you retain on the aforesaid platform from the corresponding e-commerce platform or related service platform (Tmall, Taobao, etc.). If you intend to execute and apply for this service via the aforesaid platforms, we will provide you with feedback on your contract signing status under this service, to ensure that you can use this service on such platforms.
7.您使用信用卡支付服务、国际支付服务、花呗收款服务涉及跨境交易的，与您进行跨境交易用户将通过支付宝代理购结汇服务向您支付人民币交易款项。支付宝将在支付页面或另行展示或安排其他渠道向用户发布外汇牌价。用户根据需向您支付的人民币款项、外汇牌价汇率确定需支付的外币金额，并通过支付宝结汇至人民币资金向您付款。目前，您无需承担外汇牌价中标明的汇率与实际结汇时或收款时或发生退货时的汇率之间的汇兑损益（不承担汇兑损失也不享有汇兑收益）。基于业务情况变化，支付宝有权要求您自某一时刻起承担该汇兑损益，届时将以支付宝网站发布的公告为准。
7. If the credit card payment service ,the international payment service and Huabei Collection service are used in relation to cross-border transactions, the users involved in such cross-border transactions shall pay you the transaction amountin RMB through the Alipay Agency Purchase Settlement Service. Alipay will inform the users of the foreign exchange rates, via the payment page, a separate display page or through other arranged channels. The users shall determine the amount of foreign currency payable based on the the transaction amount which is in RMB and corresponding foreign exchange rate, and suchforeign currency shall be converted to RMB by Alipay and paid to you. At present, you are not required to bear the exchange rate gains or losses arising from any differences between the foreign exchange rates displayed and theforeign exchange rates applicable at the time of actual settlement, collection of payment, or refund (that is to say, you do not incur exchange losses and do not enjoy exchange gains). Subject to any announcements issued on the Alipay website, Alipay shall have the right to require you to bear the exchange rate gains or losses at any time in accordance with any changes in business circumstances.
8. 信用卡支付、国际支付、花呗收款服务使用规范
8. Usage rules for credit card payment ,international payment and Huabei Collection services
您同意并保证，在使用信用卡支付服务、国际支付服务、花呗收款服务时应严格履行如下约定：
You agree and warrant that your use of the credit card payment service ,the international payment service and Huabei Collection service will be strictly subject to the following agreement:
（1）您应本着“遵纪守法”的原则严格遵守所在国家或地区的法律法规及相关规定。不得利用本服务从事任何有违所在国家或地区的法律法规及相关规定所禁止的产品/服务的销售。
(1) You shall strictly abide by the laws and regulations and relevant rules of the country or region on the principle of "observing laws and disciplines". You shall not use this service to engage in any sales of products/services prohibited by the laws and regulations, and relevant rules of the country or region.
（2）您应本着“审慎交易”的原则了解并遵守与支付宝合作的银行卡组织（包括但不限于中国银联、VISA、MASTER、JCB、AMEX等）、银行、小贷公司及其他合作机构制定的相关规则（包括但不限于现行有效或后续变更、新增的规则，具体以涉及的信用卡支付、国际支付类型为准）。
(2) You shall understand and follow relevant rules (including but not limited to currently effective or subsequently changed or added rules, subject to the type of credit card payments and international payments involved) formulated by the bankcard organizations (including but not limited to, China UnionPay, VISA, MASTER, JCB,and AMEX), banks, small-loan companies and other institutions in cooperation with Alipay on the principle of "making prudent transactions".
（3）您应本着“诚实信用”的原则合理使用本服务，不得利用本服务从事“套现”交易；或从事 “淘宝卖家服务-信用卡支付服务”页面说明中明确的暂不开放类目的产品/服务的销售，亦不得违规将暂不开放类目的产品/服务发布在开放类目下使用本服务，暂不开放的类目以订购页面实时公布的信息为准。
(3) You shall use the services on the principle of "honesty and integrity". You shall not use the servicesto engage in "cash out" transactions or sales of products/services under a temporarily unavailable category expressly defined on the "Taobao seller service–Credit card payment service" page, and shall not put the products/services of a temporarily unavailable category under an available category. The temporarily unavailable categories shall be based on the information published in real time on the purchase page.
（4）您应本着“了解买家”的原则妥善保留与本服务相关的一切凭证，上述凭证包括但不限于交易订单号、买家姓名、交易日期、交易金额、所购商品或服务内容、收货地址、收货人签收单、发货记录、物流凭证、交易过程中的阿里旺旺聊天记录（包括交易过程中的交易变更等可以证明实际履行与双方的约定一致的信息）等。同时，您须有效约束您委托的物流机构送达您的交易物品时的签收标准：即明确须为您的买家本人签收，如您的买家委托他人代收的，签收凭证中须有授权证明及“**代**收货”的字样。您应自交易成功之日起将上述一切凭证至少保存两年。
(4) You shall properly retain all proofs related to the services on the principle of "understanding the buyer". The proofs include but are not limited to transaction order No.,buyer's name, date of transaction, transaction amount, purchased goods or services,shipping address, signature form of consignee, shipping record, logistics document, and Trade Manager chat log during the transaction (including transaction changes in the transaction process and other information which can prove that the actual performance is consistent with the agreement between both parties). At the same time, you must set the signature of receipt standards for the logistics company you delegate to deliver your goods, clarifying that the goods must be signed for receipt by the buyer personally, and if the buyer delegates another person to receive the goods, the signature of receipt document must be indicated "the goods are received by ** on behalf of**". You shall keep all these proofs for at least two years from the date of the successful transaction.
9. 信用卡支付服务、国际支付服务、花呗收款服务涉及交易风险的特别约定
9. Special terms on the credit card payment,international payment and Huabei Collection services involving transaction risks
（1）您同意，为了保障买卖双方的交易安全和维护淘宝平台正常的交易秩序，在任何信用卡支付、国际支付、花呗收款服务涉及的交易中，如支付宝认为交易存在异常或风险的（例如存在交易的支付宝账户或银行卡被他人盗用等非授权交易、“套现”交易等），有权不经通知而采取一定的措施以控制风险，这些措施包括但不限于：1）取消交易，并将买家已支付的交易款项退回；如前述交易款项已支付至您的账户的，支付宝有权从您的账户中扣除；2）止付交易款项；3）暂停或停止向您提供相关信用卡支付服务、国际支付服务、花呗收款服务或者支付宝为您提供的其他服务。
(1) You agree that in order to guarantee the transaction security of the buyer and the seller and to maintainthe normal trading order of the Taobao platform, in any transactions involving credit card payment , international payment and Huabei Collection services, Alipay has the right to take certain measures to control the risks without notice if Alipay considers the transaction abnormal or risky (for example, the transaction is an unauthorized transaction made using a stolen Alipay accountor bank card, or "cash out" transactions). Such measures include but are not limited to: 1) cancel the transaction and refund the amount paid by the buyer; if the aforesaid transaction amount is paid to your account, Alipay has the right to deduct it from your account; 2) suspend the payment of transaction amount; 3) suspend or terminate the credit card payment service, international payment service and Huabei Collection service, or other services provided by Alipay.
对于上述第2）和3）项的限制措施，如支付宝根据您提供的或支付宝掌握的证据判断上述风险已解除或得到合理控制，支付宝将解付款项或恢复提供相关信用卡支付服务或其他服务。
For measures 2) and 3) above, if Alipay,based on your evidence or any evidence obtained by Alipay, determines that the above risks have been removed or brought under control, Alipay will resume payment and related credit card payment services or other services.
（2）在支付宝邮件通知您与买家的交易存在风险时，您有义务配合支付宝采取相关措施，包括但不限于停止发货、向物流公司召回已发出的货物及提供相关凭证（详见本条第8项（4）之约定，下同）。
(2) When Alipay sends you an email notice to inform you that your transaction with the buyer is at risk, you are obliged to cooperate with Alipay and take appropriate measures, including but not limited to, stopping shipment, recalling the goods shipped by logistics companies and providing relevant proofs (see Paragraph 6 (4) under thisarticle).
（3）您同意，当您的交易款项中涉及非授权交易、“套现”交易的，支付宝可能会采取本条第9项（1）之约定的措施以处置您支付宝账户内相应款项(包括但不限于交易金额、可能产生的银行卡组织仲裁费用)。您应在收到支付宝邮件通知后5个自然日内按要求提供相关凭证。针对非授权交易，如因您在约定时间内无法提供相关凭证或提交的凭证经银行卡组织、银行、其他合作机构或支付宝判定为无效或效力不足而导致持卡人非授权交易申诉成立，您须在接到支付宝邮件通知后3个工作日内赔偿因此导致的所有损失（包括但不限于持卡人损失、仲裁费用、支付宝因您未能成功证明该笔交易出自持卡人的真实授权所导致的惩罚性或其他类型的损失比如持卡人申诉成功、支付宝根据承诺或规则向持卡人承担补偿责任所产生的损失、行政处罚等）。针对“套现”交易，如因您在约定时间内无法提供相关凭证或提交的凭证经支付宝判断为无效或效力不足的，您应在接到支付宝邮件通知后3个工作日内向支付宝支付违约金十万元，且支付宝有权从您的任一支付宝账户中直接扣除该违约金。如该违约金不足以弥补支付宝或/及淘宝平台经营者损失（包括但不限于经济损失、行政处罚、支付宝赔偿用户的损失）的，您仍应予以补足。
(3) You agree that Alipay may take measures, as agreed in Paragraph 7 (1) under this article, to dispose of the corresponding amount (including but not limited to, the transaction amount and possible arbitration fees of bankcard organizations) in your Alipay accountin case of unauthorized or "cash out" transactions. You shall provide relevant proofs as required within five calendar days after receipt of Alipay’s email notice. In case of unauthorized transactions, if you are unable to provide relevant proofs within the agreed time or the proofs submitted are rendered invalid or inadequate by bank card organizations, banks,Alipay or its partner agencies, resulting in the cardholder's complaint of unauthorized transactions being upheld, you must compensate for all losses arising there from (including but not limited to, the cardholder's losses,arbitration fees, Alipay's punitive damages or other losses resulting from your failure to prove that such transaction is authorized by the cardholder such as an upheld complaint of the cardholder, losses or administrative penalties resulting from Alipay's liability to indemnify the cardholder in accordance with relevant commitment or rules). In case of "Cash Out"transactions, if you are unable to provide relevant proofs within the agreed time or the proofs submitted are rendered invalid or inadequate by Alipay, you shall pay RMB 100,000 to Alipay as the liquidated damages within 3 working days after receipt of the email notice from Alipay, and Alipay has the right to directly deduct such amount of liquidated damages from any of your Alipay accounts. If the liquidated damage is not sufficient to cover the losses of Alipay and/or Taobao platform operator (including but not limited to economic losses, administrative penalties, or the compensation covering the damage of Alipay users), then you shall provide adequate restitution.
您同意，对于非授权交易、“套现”交易处理过程中因款项止付、支付宝账户暂停或停止使用等所产生的损失，支付宝对此不承担任何责任。
You agree that Alipay shall not beliable for any loss arising from the suspension of payment, the temporary or permanent out of service of Alipay account due to unauthorized transactions, or"cash out" transactions.
10. 关于使用信用卡支付、国际支付、花呗收款服务的特别约定
10.Special terms on the credit card payment, International payment and Huabei Collection service involving transaction risks
您在使用信用卡支付、国际支付、花呗收款服务过程中，如发生以下情形，服务提供者有权中止/终止/暂停为您提供该服务，且您在淘宝平台上的店铺中的相关支付方式标识亦会被取消。
In the process of using credit card payment,international payment and Huabei Collection services, the service provider has the right to pause/terminate/suspend the service provided to you in the following situations, and the relevant logo inthe store of Taobao platform will also be canceled.
（1）违反中华人民共和国相关法律法规、其他适用于您的境外法律及国际惯例及本协议的约定，将支付服务用于任何非法目的或利用该服务从事侵害他人合法权益之行为，包括但不限于;
(1) Violating the applicable laws and regulations of the People's Republic of China, other applicable offshore laws and international practices, or this Agreement, or using the payment servicefor any unlawful purpose or using the service for the infringement of the legitimate rights and interests of others, including but not limited to:
1) 侵害他人名誉权、隐私权、商业秘密、商标权、著作权、专利权等合法权益。
1) Infringing upon the reputation, privacy,trade secret, trademark, copyright, patent rights and other legitimate rights and interests.
2) 违反依法定或约定之保密义务。
2) Breach of the obligation of confidentiality required by law or agreement.
3) 冒用他人名义使用支付服务。
3) Using payment service in the name ofothers.
4) 从事不法交易行为，如洗钱、贩卖枪支、毒品、禁药、盗版软件、黄色淫秽物品及其他服务提供者认为不得使用信用卡支付、国际支付、花呗收款服务进行交易的物品等。
4) Engaging in illegal transactions, such as money-laundering, trafficking in fire arms, drugs, prohibited drugs, pirated software, pornographic or obscene materials, or other goods that the service provider deems inappropriate using credit card payment, international payment or Huabei Collection services.
5) 提供赌博资讯或以任何方式引诱他人参与赌博。
5) Providing gambling information or soliciting others to participate in gambling in any way.
6) 违反《银行卡业务管理办法》等规定或本协议的约定使用银行卡，或利用信用卡支付、国际支付、花呗收款服务进行“套现”交易。
6) Violating the provisions on bank card usage of Administrative Measures for Bank Card Business or this Agreement, or using credit card payment , international payment or Huabei Collection services to perform "cash out" transactions.
7) 进行与您或买家宣称的交易内容不符的交易、使用信用卡支付、国际支付、花呗收款服务从事禁止或暂不开放类目的交易及不真实的交易。
7) Conducting transactions that are not inconformity with what claimed by you or the Buyer, or using credit card payment ,international payment or Huabei Collection services for prohibited or temporarily unpermitted transactions or false transactions.
8) 从事任何可能含有电脑病毒或是可能侵害本服务系统、资料之故意行为。
8) Engaging in any intentional act that may spread a computer virus or may damage the services or information of thissystem.
（2）违反您与服务提供者签署的任一协议、在网站公布的规则的（包括但不限于《支付宝服务协议》、《淘宝服务协议》、《消费者保障服务协议》）。
(2) You violates any agreement that youhave signed with the service provider or rules published on its website,including but not limited to Alipay Service Agreement, Taobao Service Agreementand Consumer Assurance Service Agreement.
（3）您不再符合淘宝平台网站公布的信用卡支付、国际支付、花呗收款服务申请标准的。
(3) You no longer meet the standards published on the Taobao platform website regarding credit card , international payment or Huabei Collection applications.
（4）因国家相关主管部门颁布、变更的法令、政策，服务提供者需要终止提供约定服务的。该等情况下不视为服务提供者违约。
(4) The service provider may terminate the relevant services due to the law or policy issued or modified by the national departments in charge. In such cases, the service provider is not considered to be breach of contract.
11. 关于接受美国支付服务的特别规定
11. Special terms governing using international payment services in the US
您同意支付宝美国在下列情况下为您提供国际收支服务：位于美国的买家进行的购买、使用美国发行的信用卡或借记卡进行的购买、使用美国的银行账户进行的购买。在上述情形下，您指定支付宝美国作为从买家处收取款项的代理人。您同意，如果买家已经向支付宝美国或支付宝美国指定的第三方服务提供商以网上列出的交易价格全额付款，则代表买家已经履行了对您的付款义务。即使该款项尚未被您收到，买家的付款义务也可被视为在买家向支付宝美国付款时履行完毕。如果支付宝没有将从买家收到的款项支付给您，支付宝将对您的应收款项承担全部责任，买家对此不承担责任。
You acknowledge that Alipay US may bei nvolved in providing international payment services to You in connection with purchases made by buyers located in the United States or purchases made using credit cards or debit cards issued by banks in the United States or the accounts of bank in the United States. You hereby appoint Alipay US as your agent for the limited purpose of receiving payments from buyers. You agree that a buyer’s full payment of the transaction price listed online to Alipay US, or its designated third party service provider acting on its behalf,constitutes final payment to you, extinguishing buyer’s payment obligation to You as if the buyer had paid You directly, even if the payment is not received by You. Alipay, and not the Buyer, is solely liable to You for payment if Alipay fails to remit payments received from Buyer to You.
六、通知
VI. Notification
本协议履行过程中，服务提供者向您发出的书面通知方式包括但不限于邮寄纸质通知、网站公告、电子邮件、站内信、旺旺系统信息、手机短信和传真等方式。无论采用何种形式，前述修订内容自通知发出之日起即对您和服务提供主体产生约束力。若您在通知送达之后继续使用本服务的，表示您已充分阅读、理解并接受修改后的内容，也将遵循修改后的内容使用相关服务。
During the performance of this agreement, the methods that the service providers may use to send a written notice include but not limited to mail, website announcement, email, internal message,Trade Manager, SMS, and fax. The aforesaid amendments shall be binding on both parties upon release of the notice at any form. By continuous use of the services hereunder upon receipt of the notice, you are deemed to have completely read, understood, and accepted the amendments, and you will follow the amendments to use applicable services.
七、服务提供者的权利和义务
VII. Rights and obligations of theservice provider
1. 服务提供者应负责受理或委托第三方受理涉及服务相关问题的投诉并处理由此产生纠纷，但本协议另有约定外。
1. Unless otherwise stated in this agreement, service providers shall be responsible for dealing with or engaginga third party to deal with any complaint concerning service-related issues and any dispute arising therefrom.
2. 服务提供者应负责或委托第三方设立业务咨询和联系电话，负责解答您在使用相关服务过程中遇到的各种疑问，并及时解决在数据对账、资金流转过程中的有关问题。
2. The service providers or their engaged third parties shall provide business consultation and hotline service to answer any question that you encounter when using the services, and resolve issues about data reconciliation and funds flow in a timely manner.
3. 您同意在有正当、合法、合理之情形时，服务提供者有权将您的相关交易信息提供给第三方，如政府部门、司法机关、银行卡组织、其他合作机构等； 就支付宝而言，《支付宝服务协议》另有约定的，按该协议约定执行。
3. You agree that, under legitimate,lawful, and reasonable circumstances, the service providers have the right to provide your transaction-related information to competent third parties, such as government departments, judicial organs, banks, credit card companies, and other partners. With respect to Alipay, if otherwise provided for in the Alipay Service Agreement, the terms of the Alipay Service Agreement shall be followed.
4. 服务提供者有权留存您在使用本服务过程中形成的数据信息并提供给各自的关联公司，以供后续向您提供持续地、更优质的服务；就支付宝而言，《支付宝服务协议》另有约定的，按该协议约定执行。
4. In order to provide you with continuously improving services, the service providers have the right to retain your information on use of the services hereunder and disclose to their respective affiliated companies. With respect to Alipay, if otherwise provided for in the Alipay Service Agreement, the terms of the Alipay Service Agreement shall be followed.
5. 支付宝、淘宝经营者平台仅在各自业务范围内履行本协议的约定义务，对非因自身业务原因产生的纠纷不承担任何责任。
5. Alipay and TaoBao operators perform the obligations hereunder only within their respective business scope,and shall assume no liability for disputes arising from other issues rather than their business.
八、免责条款及故障处理
VIII. Disclaimer and troubleshooting
1. 若出现下列任一状况致使支付宝或淘宝平台经营者无法向您提供本服务的，支付宝或淘宝平台经营者均不承担任何违约或赔偿责任，该状况包括但不限于：
1. In the event of any of the following circumstances (including but not limited to the followings), Alipay and TaoBao operators shall not be liable for failure to provide the services hereunder:
1）系统停机维护或升级；
1) System downtime for maintenance or upgrade;
2）因台风、地震、洪水、雷电或恐怖袭击等不可抗力原因；
2) Any force majeure such as typhoon,earthquake, flood, thunderstorm, or terrorist attacks;
3）您的电脑软硬件和通信线路、供电线路出现故障的；
3) Malfunction of your computer hardware or software, communication failure, or power failure;
4）您操作不当或未通过支付宝或淘宝平台经营者授权或认可的方式使用本服务的；
4) Misoperation or lack of authorization or approval by the Alipay or Taobao platform operators in using the services;
5）因病毒、木马、恶意程序攻击、网络拥堵、系统不稳定、系统或设备故障、通讯故障、电力故障、银行原因、第三方服务瑕疵或政府行为等原因。
5) Viruses, Trojans, malware attacks,network congestion, system instability, system or equipment failure,communication failure, power failure, reasons due to financial institutions,third-party service flaws, or government decisions;
6）尽管有前款约定，支付宝或淘宝平台经营者将采取合理行动积极促使服务恢复正常。
6) Notwithstanding the foregoing, the Alipay or Taobao platform operators shall take reasonable actions to resume services.
2.您理解本协议所涉服务有赖于支付宝或淘宝平台经营者系统的准确运行及操作。若出现系统差错、故障或其他原因引发了展示错误、您或其他协议方不当获利等情形的，您同意其他协议方可以自行或通过第三方采取更正差错、扣划款项、暂停服务等适当纠正措施。
2. You understand that the services hereof shall be dependent on the proper running and operation of the Alipay or Taobao platform operators' systems. In the event of any system failure,malfunction or other circumstance that causes a display error or illegal profits to you or other parties hereto, you agree that other parties hereto may take corrective actions, such as resolving the errors, deducting funds, or temporarily suspending services independently or through a third party.
九、其他
IX. Miscellaneous
1. 您同意，服务提供者有权根据您的风险程度及自身业务运营情况的需求而随时调整服务规则、中止/终止向您提供的全部或部分服务，或调整您通过服务进行收款或交易的限额，并按照本协议约定方式书面通知您。
1. You agree that service providers have the right to adjust the service rules at any time based on your risk degree and business operations, to suspend or terminate all or part of the services provided, to adjust your collection or transaction limits in the service, and to notify you in writing of the adjustment as governed under theterms of this Agreement.
2. 您理解并同意，在您使用本协议项下服务过程中，因服务提供者原因导致您发生相应损失的，服务提供者就因此给您造成的直接损失进行赔偿。在任何情况下，服务提供者不就您的利润、商誉、资料损失或其他间接、附带、特别、衍生性的损失承担责任或赔偿性惩罚。
2. You understand and agree that in the course of service hereof, in case of any damages due to the service provider, the service provider shall compensate you for any direct losses arising therefrom. Under no circumstances whatsoever will the service provider be liable for any loss of profits, loss of goodwill, loss of documents, or any indirect, incidental, special, consequential, or punitive damages.
3. 为有效提供服务，服务提供者会不时对系统进行维护和升级。届时，服务提供者仅需在支付宝或淘宝平台经营者网站发布公告即可。在此过程中可能出现服务中断或不稳定状态，此情形不应视作服务提供者违约。
3. To effectively provide services, the service providers may maintain and upgrade the system from time to time. At that time, the service providers may make an announcement on the Alipay orTaobao platform operator website. During this process, any service interruptionor instability shall not constitute the service provider’s breach of this Agreement.
4. 您同意，因您违反本协议约定造成服务提供者损失的，您应赔偿相应的损失或承担相应的违约责任。如您未主动赔偿的，您授权服务提供者可从您名下的支付宝账户扣取相应款项，并就不足部分向您保留追索的权利。
4. You agree that if you breaches the Agreement and cause loss to the service provider, you shall compensate for the corresponding loss and assume the liability arising therefrom. If you fail to pay for the losses, your authorized service provider has the right to deduct the corresponding amount from your Alipay account and reserve the right of recourse for any remaining amount.
5. 为查询您的信用状况，审核您履行本合同义务的能力，确认您使用本服务的资格，您同意并授权支付宝及服务提供者在不违反《征信业管理条例》等法律法规及国家关于个人金融信息保护方面相关规定的前提下，向芝麻信用管理有限公司及其他依法设立的征信机构、资信评估机构或有关法律、监管机构许可的类似机构（以下统称“信用机构”）查询、使用您的芝麻分、个人信用信息和信用报告。如未有另行约定，前述授权期限与本合同有效期限一致。且为建立信用体系，您同意并授权支付宝及服务提供者向信用机构发送您的信息并一经通知您即将您的不良信息发送信用机构，包括但不限于芝麻信用管理有限公司。
5. For the purpose of checking your credit status, reviewing your ability to fulfill the obligations hereof, and confirming your eligibility to use this service, you agree and authorize that Alipay and the service provider, provided that there is no violation of Regulation on the Administration of Credit Investigation Industry and other laws and regulations regarding the protection of personal financial information, may access your credit reports, Zhima scores, and related personal information held by Sesame Credit Management Co., Ltd. and other credit agencies legally established, credit institutions, or other similar institutions authorized by regulatory authorities in accordance with the relevant laws and regulations (hereinafter collectively referred to as"credit agencies"). If there is no other agreement, the aforementioned authorization period is the same as the effective term of this Agreement. To establish a credit system, you agree to authorize Alipay and the service provider to send your information to the credit agencies. Upon notification, your negative credit information shall be sent to the credit agencies, including but not limited to Sesame Credit Management Co., Ltd.
6. 您同意，本协议之效力、解释、变更、执行与争议解决均适用中华人民共和国法律。如有纠纷，各方应努力友好协商解决。如协商不成，您同意各方均有权向被告住所地有管辖权的人民法院提起诉讼。
6. You agree that the validity,interpretation, amendment, execution, and dispute resolution hereof shall be governed by the laws of the People's Republic of China. Any dispute arising therefrom shall be resolved through amicable consultations. If both parties fail to reach an agreement, you agree that either party may file a lawsuit with the competent People's Court where the defendant is domiciled.
7. 本协议的纸质版本仅供参考，纸质版本与电子版本不一致的，以支付宝/淘宝平台经营者网站上展示的电子版本为准。本协议若附英文版本仅作为参考，所涉条款的文法、文义及解释以中文版本为准。如中英文版本发生冲突或具有歧义时，以中文版为准。
7. The hard copy of this Agreement is for reference only. For any inconsistency between the hard copy and the electronic version, the latter on the Alipay/Taobao platform operator website shall prevail. The English version of this Agreement (if any) is for reference only.Regarding the grammar, meaning, and interpretation hereof, the Chinese version shall prevail. In the event of any inconsistency between the Chinese versionand the English version, the Chinese version shall govern.
8. 本协议有效期自各服务开通之日起至相关平台服务协议（如您为天猫商户，则为《天猫服务协议》；如您为飞猪网商户，则为《飞猪服务协议》，且需共同遵守《支付宝服务协议》及相关规则）终止之日止。
8. The effective term of this Agreement begins on the date that your service on the relevant platform is enabled and ends until the termination of appropriate platform service agreements(including Tmall Service Agreement for Tmall merchants, ) Fliggy Service Agreement for Fliggy merchants, Alipay Service Agreement, and relevant regulations, which shall be abided by all parties).
