Huabei Collection Service Agreement

《花呗收款服务协议》(以下简称“本协议”)是支付宝（中国）网络技术有限公司（以下简称“支付宝”）、淘宝平台经营者与商家（以下简称“您”）就花呗收款服务（以下简称为“本服务”）的使用事项所订立的有效合约。您通过网络页面点击确认或以其他方式选择接受本协议，即表示您与支付宝、淘宝平台经营者已达成协议并同意接受本协议的全部约定内容。
The Huabei Collection Service Agreement (hereinafter referred to as this "Agreement") is a binding contract entered into by and among Alipay (China) Network Technology Co., Ltd. (hereinafter referred to as "Alipay"), Taobao platform operators, and merchants (hereinafter referred to as "You") regarding the usage of the Huabei Collection service (hereinafter referred to as this "Service").

在接受本协议之前，请您仔细阅读本协议的全部内容（特别是以粗体下划线标注的内容）。如果您不同意本协议的任意内容，或者无法准确理解本协议任何条款的含义，请不要进行确认及后续操作。如果您对本协议的条款有疑问的，请通过支付宝、淘宝平台经营者的客服渠道进行询问，其将向您解释条款内容。
Before accepting this Agreement, please read all of its contents carefully (especially segments that are highlighted, underlined, or in bold). If you do not agree with anything in this Agreement, or if you cannot understand the meaning of a provision accurately, please do NOT click confirm or perform any follow-up actions. Should you have any questions regarding any of the provisions of this Agreement, please reach us via the customer service channels of Alipay and Taobao platform operators, and they will explain the content of the provision to you.

您同意，支付宝、淘宝、阿里巴巴平台经营者将不定时对本协议内容进行变更，并以在支付宝网站(www.alipay.com)或者淘宝平台经营者网站（包括但不限于www.taobao.com/www.tmall.com/www.alitrip.com/fliggy.com/feizhu.com/www.etao.com/ju.taobao.com或www.1688.com其他不定时变更的由上述主体运营的域名）上公告的方式提前予以公布；若您在本协议变更内容公告、生效后继续使用本服务的，表示您已充分阅读、理解并接受变更修改后的协议内容，也将遵循变更修改后的协议内容使用本服务；若您不同意变更修改后的协议内容，您应在变更生效前停止使用本服务。
You agree that Alipay and Taobao platform operators shall update the contents of this Agreement from time to time, and that such updates will be announced in advance on the Alipay website (www.alipay.com) or on Taobao platform operator websites (including but not limited to www.taobao.com, www.tmall.com, www.alitrip.com/fliggy.com/feizhu.com, www.etao.com, ju.taobao.com or any other domain names, which may also change from time to time, that are operated by the subjects mentioned above). Your continued use of this Service after changes to the Agreement are announced and come into effect shall indicate that you have fully read, understood and agreed to the amended contents of the Agreement.You must also comply with the content of the Agreement after it has been amended in order to continue using this Service. If you do not agree with any revised content, you should stop using this Service before it comes into effect.

一、定义
1. Definitions

1、花呗收款：指消费者在线使用花呗作为资金渠道支付交易款项至您指定的收款账户。
1.1 Huabei Collection: this refers to the service where consumers make payments for transactions to the beneficiary account designated by you by using the Huabei Collection service online as a funding channel.

2、交易流量（交易款项）：指由支付宝/淘宝平台经营者软件系统所统计的您通过其选定服务类型使用支付服务所完成交易的金额（包括但不限于货款、运费等）。交易流量将作为支付宝向您收费的依据。
1.2 Transaction Traffic (Transaction Payments): this refers to the amount of money from transactions you completed via payment services for selected service types, which is counted by Alipay/Taobao platform operator software systems (including but not limited to payments, fares, etc.). Transaction Traffic will be the basis for how Alipay bills you.

3、服务费用：指您因使用本服务而须向支付宝支付软件服务费。本服务费用依据交易流量（交易款项）及本协议中支付宝向您明示的费率确定。
1.3 Service Fee: this refers to software service charges you must pay Alipay for the use of this Service. This service fee will be determined by Transaction Traffic (Transaction Payments) and the rate clearly stated by Alipay in this Agreement.

4、非授权交易：指买家未经过支付宝账户持有人授权，使用该支付宝账户与您直接通过本服务完成的交易。
1.4 Unauthorized Transactions: this refers to transactions completed via our Service between an Alipay account and you directly without the buyer being authorized by the Alipay account holder.

5、“套现”交易：指您与买家通过虚构交易、虚开价格、现金退货等方式向买家直接支付现金。
1.5 “Cash-out” Transactions: this refers to you paying cash to buyers directly through fictitious transactions, falsified prices, returning cash for goods, etc.

6、淘宝平台经营者：指法律认可的包括但不限于淘宝网，域名为
www.taobao.com；天猫，域名为www.tmall.com；阿里旅行网（飞猪），域名为www.alitrip.com/fliggy.com/feizhu.com；一淘网，域名为www.etao.com；聚划算，域名为ju.taobao.com；www.etao.com；聚划算，域名为ju.taobao.com；闲鱼平台，域名为goofish.com; 1688平台，域名为www.1688.com或其他不定时变更的域名所对应的经营平台网站的责任主体，有关平台经营者的信息请查看各家平台首页底部公布的公司信息和证照信息，为便于描述前述主体可单称或统称为淘宝平台经营者。
1.6 Taobao Platform Operators: this refers to all legally recognized responsible subjects including but not limited to Taobao, whose domain name is www.taobao.com, Tmall, whose domain name is www.tmall.com, Alitrip (Fliggy), whose domain name is www.alitrip.com/fliggy.com/feizhu.co, Etao, whose domain name is www.etao.com, Juhuasuan, whose domain name is ju.taobao.com, Goofish platform, whose domain name is goofish.com， the 1688 platform, whose domain name is www.1688.com, as well as other operating platforms who may change their domain names from time to time. For information on the relevant platform operators, please refer to company profiles and licenses published at the bottom of their home pages. In order to facilitate the description of the aforementioned subjects, they may be referred to separately or collectively as Taobao Platform Operator(s).

二、服务使用

2. Service Usage

就本支付服务涉及的权利和义务由您与支付宝及淘宝平台经营者做如下特别约定：
The rights and obligations involved in this payment service are subject to the following special conventions between you and Alipay and Taobao platform operators:

1、您知晓并同意，在您向支付宝申请使用相关本服务时，即代表您将依照本协议、《支付宝服务协议》及支付宝、淘宝平台经营者网站公布的规则履行义务并享有权利。
2.1 You acknowledge and agree that when you are applying for and using this Service, it means that you will follow this Agreement, the Alipay Service Agreement, as well as the rules and regulations published on the Alipay and Taobao platform operator websites, in fulfilling your obligations and enjoying your rights.

就本服务使用的专项约定优先适用本协议约定，本协议与《支付宝服务协议》、《支付服务协议》约定不一致的，以本协议为准；本协议未约定事宜，均以支付宝网站所不时公布的《支付宝服务协议》及相关附属规则及阿里巴巴、淘宝平台经营者网站公布的规则及您另行签署的相关协议为补充。
This Agreement shall prevail when applying special conventions regarding the use of this Service. This Agreement shall also prevail when there are any inconsistencies between this Agreement, the Alipay Service Agreement and the Payment Service Agreement. For any matters that have not been agreed upon in this Agreement, the Alipay Service Agreement and its affiliated rules and regulations, which may be published on the Alipay website from time to time, rules and regulations published on Taobao platform operator websites, as well as relevant agreements you may have signed otherwise, shall all serve as supplements.

支付宝有权根据风险防范等需要拒绝您的申请。支付宝未向您开通相关本服务即代表拒绝了您的申请。在本协议有效期内，支付宝有权根据您的资质情况及风险管控等要求，调整对您提供花呗收款服务的安排（包括暂停/恢复服务等）。

Alipay has the right to reject your application based on risk prevention and other needs. If Alipay does not allow you to use this Service, this indicates that your application has been rejected. During the effective term of this Agreement, Alipay has the right to adjust the arrangements for providing you with the Huabei Collection service (including suspension/resumption of service) based on your qualifications, risk control and other requirements.

2、您理解并同意，您签署本协议即须就使用本服务向支付宝支付软件服务费，软件服务费为单笔交易流量（交易款项）的千分之六。支付宝有权实时从您收取的交易款项中扣取相应的软件服务费用，且该笔手续费在收取后将不因任何原因退返（包括但不限于退款）。
2.2 You acknowledge and agree that upon signing the Agreement you must pay Alipay the software service fee for using this Service. This fee equals 0.6% of each single Transaction Traffic (Transaction Payment). Alipay has the right to deduct relevant software service fees in real time from Transaction Payments that you have collected. Once deducted, this handling fee will not be returned for any reason (including but not limited to refunds).

3、如您签署了本协议且已就本服务向支付宝支付了软件服务费，则买家无需在使用本服务向您购买商品或服务时另行向支付宝支付服务费。
2.3 If you have already paid Alipay the software service fee for this Service when you sign this Agreement, then buyers do not need to pay the Alipay service fee separately when they use this Service to purchase goods or services from you.

4、您认可，您使用本服务的记录数据、交易金额数据均以支付宝/淘宝平台经营者软件系统记录的数据为准。
2.4 You acknowledge that recorded data and the transaction amount when using this Service are both subject to data recording by Alipay/Taobao platform operator software systems.

5、您在使用本服务过程中向支付宝累计支付软件服务费达到人民币1000元及以上或本协议因任何原因终止后的15个工作日内，您可要求支付宝向您开具与开票当时您实际支付费用等额的软件服务费发票，并按您提供的地址信息以快递的方式寄送给您。

2.5 When you have paid Alipay 1,000 RMB or more in accumulated software service fees for using this Service, or within 15 days after this Agreement is terminated for any reason, you can request Alipay to issue you an invoice, the amount of which equals the software service fees you have actually paid, and have it delivered to you by express mail to the address you provided.

6、本服务使用规范
2.6 Service Usage Specifications

您同意并保证，在使用本服务时应严格履行如下约定：
You agree and guarantee that you shall strictly fulfill the following conventions when using this Service:

（1）您应本着“遵纪守法”的原则严格遵守所在国家或地区的法律法规及相关规定。不得利用本服务从事任何有违所在国家或地区的法律法规及相关规定所禁止的产品/服务的销售。
(2.6.1) Based on the principle of “compliance with the law” you must strictly follow all national or regional laws, regulations and relevant provisions. You shall not use this Service to sell any products/services that are prohibited by national or regional laws, regulations and relevant provisions.

（2）您应本着“诚实信用”的原则合理使用本服务，不得利用本服务从事“套现”交易；或从事产品订购页面（“淘宝卖家服务-金融支付服务-支付服务”页面）说明中明确的暂不开放类目的产品/服务的销售，亦不得违规将暂不开放类目的产品/服务发布在开放类目下使用本服务，暂不开放的类目以订购页面实时公布的信息为准。
(2.6.2) You must follow the principle of “good faith” to use this Service legitimately and not use this Service to engage in “cash-out” transactions. You must not engage in the selling of any product/service that falls under temporarily-closed categories specified on product ordering pages (refer to the “Taobao Seller Services - Financial Payment Services - Payment Services” pages). You must also not use this Service in violation of the rules to publish under open categories any product/service that falls under temporarily-closed categories. In the matter of temporarily-closed categories, the real-time information published on product ordering pages shall prevail.

（3）您应本着“了解买家”的原则妥善保留与本服务相关的一切凭证，上述凭证包括但不限于交易订单号、买家姓名、交易日期、交易金额、所购商品或服务内容（包括交易过程中的交易变更等可以证明实际履行与双方的约定一致的信息）等。同时，您须有效约束您委托的物流机构送达您的交易物品时的签收标准：即明确须为您的买家本人签收，如您的买家委托他人代收的，签收凭证中须有授权证明及“**代**收货”的字样。您应自交易成功之日起将上述一切凭证至少保存两年。
(2.6.3) Based on the principle of “understanding buyers” you must properly keep all vouchers related to this Service including but not limited to transaction order numbers, the name of the buyer, transaction dates, transaction amounts, the contents of all products or services purchased, etc. (including information like changes in the transaction during the transaction process, etc. that can prove that the actual fulfillment of the agreement between both parties is consistent). At the same time you must also effectively restrict logistics agencies you entrust to deliver your merchandise with a signing standard, that is to say, you should clearly specify that those goods must be signed for by your buyers themselves. When the buyer entrusts another person to sign for such goods, authorization certificates and “signed for by ** for **” statements must be collected with the sign-off certificate. You must keep the aforementioned vouchers for at least two years after such transactions are successfully completed.

7、本服务涉及交易风险的特别约定
2.7 Special Conventions Regarding Transaction Risks Involved in This Service

（1）您同意，为了保障买卖双方的交易安全和维护淘宝平台正常的交易秩序，在任何本服务涉及的交易中，如支付宝认为交易存在异常或风险的(例如存在交易的支付宝账户被他人盗用等非授权交易、“套现”交易等)，有权不经通知而采取一定的措施以控制风险，这些措施包括但不限于：1）取消交易，并将买家已支付的交易款项退回；如前述交易款项已支付至您的账户的，支付宝有权从您的账户中扣除；2）止付交易款项；3）暂停或停止向您提供本服务或者支付宝为您提供的其他服务。
(2.7.1) You agree that in order to ensure the safety of transactions between buyers and sellers and maintain normal transaction order on Taobao platforms, for any transaction involving this Service, if Alipay believes that there is an abnormality or risk related to the transaction (such as transactions on an Alipay account that was stolen, and other unauthorized transactions, as well as “cash-out” transactions, etc.), then Alipay has the right to take certain measures without notice to control the risk. These measures include but are not limited to: 1) canceling the transaction and refunding the payment back to the buyer. If any of the aforementioned transactions have been paid into your account, Alipay is entitled to deduct them from your account; 2) stopping transaction payments; 3) suspending or terminating this Service or any other services Alipay provides to you.

对于上述第2)和3)项的限制措施，如支付宝根据您提供的或支付宝掌握的证据判断上述风险已解除或得到合理控制，支付宝将解付款项或恢复提供本服务或其他服务。
With regard to the aforementioned limitation measures in articles 2) and 3), if Alipay concludes, based on the evidence you provide or knowledge ascertained by Alipay, that the aforementioned risks have been neutralized or they are already under reasonable control, Alipay shall release the payment or resume providing this Service or other services.

（2）在支付宝邮件通知您与买家的交易存在风险时，您有义务配合支付宝采取相关措施，包括但不限于停止发货、向物流公司召回已发出的货物及提供相关凭证（详见本协议本条第6项第（3）款约定，下同）。
(2.7.2) When Alipay notifies you about the existence of risks in your transactions with buyers, you are obliged to cooperate with Alipay and take the relevant measures, including but not limited to stopping the delivery of goods, recall delivered goods from logistics companies, provide the relevant vouchers (for details, please refer to the conventions in Article 6 Paragraph (3) of this Agreement, the same below).

（3）您同意，当您的交易款项中涉及非授权交易、“套现”交易的，支付宝可能会采取本协议本条第7项（1）约定的措施以处置您支付宝账户内相应款项(包括但不限于交易金额等)。您应在收到支付宝邮件通知后5个自然日内按要求提供相关凭证。针对非授权交易，如因您在约定时间内无法提供相关凭证或提交的凭证经支付宝判定为无效或效力不足而导致持卡人非授权交易申诉成立，您须在接到支付宝邮件通知后3个工作日内赔偿因此导致的所有损失（包括但不限于支付宝根据承诺或规则向支付宝账户持有人承担补偿责任所产生的损失）。针对“套现”交易，如因您在约定时间内无法提供相关凭证或提交的凭证经支付宝判断为无效或效力不足的，您应在接到支付宝邮件通知后3个工作日内向支付宝支付违约金十万元，且支付宝有权从您的任一支付宝账户中直接扣除该违约金。如该违约金不足以弥补支付宝或/及淘宝平台经营者损失的，您仍予以补足。
(2.7.3) You agree that when your transaction payments are involved in unauthorized or “cash-out” transactions, Alipay may take the measures agreed upon in clause 2.7.1 to dispose of payments in your Alipay account (including but not limited to the amount of the transaction, etc.). You must provide relevant vouchers as requested within 5 calendar days after you are notified by Alipay to do so by Alipay mail. For unauthorized transactions, if your vouchers are deemed invalid or ineffectual by Alipay, due to your failure to provide or submit relevant vouchers within the appointed time, and thus results in an unauthorized transaction complaint from a cardholder, you must compensate Alipay for all losses (including but not limited to damages Alipay pays in following its commitments or rules to compensate Alipay account holders) within 3 business days after you are notified by Alipay to do so by Alipay mail. For “cash-out” transactions, if your vouchers are deemed invalid or ineffectual by Alipay, due to your failure to provide or submit relevant vouchers within the appointed time, you must pay Alipay 100,000 RMB in liquidated damages for breach of contract within 3 business days of being notified by Alipay to do so by Alipay mail, and Alipay shall then be entitled to deduct this amount from any of your Alipay accounts directly. If the money obtained from this breach of contract is insufficient to make up for the losses suffered by Alipay/Taobao platform operators, you will still be required to render funds in order to make up for the remaining losses.

同时，淘宝平台经营者有权根据您的套现情形对您的店铺进行相关处罚。
At the same time, based on the severity of your “cash-out” transactions, Taobao platform operators have the right to impose the relevant punishments on your shop.

您同意，对于非授权交易、“套现”交易处理过程中因款项止付、支付宝账户暂停或停止使用等所产生的损失，支付宝对此不承担任何责任。
You agree that Alipay will assume no responsibility for any damages caused by payment suspension, Alipay account suspension or deactivation, etc., that occurred in the process of dealing with unauthorized transactions or “cash-out” transactions.

8、终止本服务的特别约定
2.8 Special Conventions Regarding Termination of Service

您在使用本服务过程中，如发生以下情形，支付宝及淘宝平台经营者有权终止为您提供本服务。
Alipay or Taobao platform operators are entitled to terminate this Service that is provided to you if any of the following cases occur during your use of this Service.

（1）违反中华人民共和国相关法律法规、其他适用于您的境外法律及国际惯例及本协议的约定，将本服务用于任何非法目的或利用本服务从事侵害他人合法权益之行为，包括但不限于;
(2.8.1) Violating the relevant laws and regulations of the People’s Republic of China, or any foreign laws, international practices or conventions in this Agreement that apply to you, using this Service for any unlawful purposes, or using this Service to engage in any activities to infringe upon others' lawful rights and interests, including but not limited to;

1)、侵害他人名誉权、隐私权、商业秘密、商标权、著作权、专利权等合法权益。
2.8.1.1 Infringing upon the legitimate rights and interests of others, such as the right of reputation, right to privacy, trade secrets, trademark rights, copyrights, patent rights, and other legitimate rights and interests.

2)、违反依法定或约定之保密义务。
2.8.1.2 Violating legal or contractual obligations of confidentiality.

3)、冒用他人名义使用本服务。
2.8.1.3 Impersonating others in order to use this Service.

4)、从事不法交易行为，如洗钱、贩卖枪支、毒品、禁药、盗版软件、黄色淫秽物品及其他支付宝及淘宝平台经营者认为不得使用本服务进行交易的物品等。
2.8.1.4 Engaging in illegal transaction activities, such as money-laundering, trafficking firearms, narcotics, banned drugs, pirated software, pornographic/obscene goods or using this Service to sell any other goods that are prohibited by Alipay or Taobao platform operators.

5)、提供赌博资讯或以任何方式引诱他人参与赌博。
2.8.1.5 Providing gambling information or inducing any person to gamble in any way.

6)、利用本服务进行“套现”交易。
2.8.1.6 Using this Service to conduct “cash-out” transactions.

7)、进行与您或买家宣称的交易内容不符的交易、使用本服务从事禁止或暂不开放类目的交易及不真实的交易。
2.8.1.7 Conducting transactions that do not match the contents as you or the buyer have claimed, or using this Service to engage in any fictitious transactions or any transactions that fall under prohibited or temporarily-closed categories.

8)、从事任何可能含有电脑病毒或是可能侵害本服务系统、资料之故意行为。
2.8.1.8 Engaging in any intentional activities that may contain computer viruses or invade the systems or data of this Service.

（2）违反您与支付宝及淘宝平台经营者签署的任一协议、在网站公布的规则的（包括但不限于《支付宝服务协议》、《淘宝服务协议》、《消费者保障服务协议》）。
(2.8.2) Violating any agreements you signed with Alipay or Taobao platform operators, or any rules and regulations published on our websites (including but not limited to the Alipay Service Agreement, Taobao Service Agreement and Consumer Protection Service Agreement).

（3）您不再符合阿里巴巴、淘宝平台网站公布的本服务申请标准的。
(2.8.3) You no longer meet the criteria to apply for this Service as published on Taobao platform websites.

（4）因国家相关主管部门颁布、变更的法令、政策，支付宝及淘宝平台经营者需要终止提供约定服务的。该等情况下不视为支付宝及淘宝平台经营者违约。
(2.8.4) Alipay or Taobao platform operators need to cease providing agreed services in order to comply with any laws, decrees or policies enacted or amended by the relevant national authorities. In such cases, Alipay and Taobao platform operators shall not be regarded as having committed a breach of contract.

三、通知
3. Notifications

本协议履行过程中，支付宝及淘宝平台经营者向您发出的书面通知方式包括但不限于邮寄纸质通知、网站公告、电子邮件、站内信、旺旺系统信息、手机短信和传真等方式。无论采用何种形式，前述修订内容自通知发出之日起即对您和服务提供主体产生约束力。若您在通知规定的生效日期之后继续使用本服务的，表示您已充分阅读、理解并接受修改后的内容，也将遵循修改后的内容使用相关服务；若您不同意修改后的内容，您应停止使用相关服务。
During the implementation of this Agreement, written notices Alipay or Taobao platform operators may send you shall include but not be limited to mailed paper notices, website announcements, emails, PMs, Alibaba TradeManager messages, SMS, fax or other forms of communication. Regardless of the form adopted, aforesaid amendments shall be binding upon you and the service provider immediately after such notices are sent. Your continued use of this Service after effective dates specified in notices have passed shall indicate that you have fully read, understood and agreed to the amended contents, and you shall use the relevant services according to those amended contents. If you do not agree to any revised content, you should stop using any related services.

四、支付宝及淘宝平台经营者的权利和义务
4. Rights & Obligations of Alipay and Taobao Platform Operators

1、支付宝及淘宝平台经营者应负责受理或委托第三方受理涉及服务相关问题的投诉并处理由此产生纠纷，但本协议另有约定外。
4.1 Alipay and Taobao platform operators, or commissioned third parties, shall be responsible for the handling of complaints related to services, as well as any disputes caused by such complaints, except as otherwise stipulated in this Agreement.

2、支付宝及淘宝平台经营者应负责或委托第三方设立业务咨询和联系电话，负责解答您在使用相关服务过程中遇到的各种疑问，并及时解决在数据对账、资金流转过程中的有关问题。
4.2 Alipay and Taobao platform operators, or commissioned third parties, shall set up telephone lines for business consulting and contact. They shall be responsible for answering any questions you may encounter while using the relevant services and shall resolve any related problems that occur in the process of data reconciliation or the flow of funds in a timely manner.

3、您同意在有正当、合法、合理之情形时，支付宝及淘宝平台经营者有权将您的相关交易信息提供给第三方，如政府部门、司法机关、银行卡组织、其他合作机构等；就支付宝而言，《支付宝服务协议》另有约定的，按该协议约定执行。
4.3 You agree that under just, lawful or reasonable circumstances, Alipay and Taobao platform operators have the right to provide your relevant transaction information to third parties like government departments, judiciary authorities, bank card organizations or other cooperative agencies. As for Alipay, provisions as otherwise agreed to in the Alipay Service Agreement shall be implemented according to the agreement.

4、支付宝及淘宝平台经营者有权留存您在使用本服务过程中形成的数据信息并提供给各自的关联公司，以供后续向您提供持续地、更优质的服务；《支付宝服务协议》另有约定的，按该协议约定执行。
4.4 Alipay and Taobao platform operators have the right to retain the data generated in your use of this Service and provide them to their associated companies respectively in order to subsequently provide you with continually higher quality services. As for Alipay, provisions as otherwise agreed to in the Alipay Service Agreement shall be implemented according to the agreement.

5、支付宝、淘宝经营者平台仅在各自业务范围内对本合作履行约定义务，非因自身业务原因产生的纠纷不承担任何责任。
4.5 Alipay and Taobao platform operators shall fulfill their contractual obligations only within their respective areas of business, and they will assume no liability for any disputes not arising from their own businesses.

五、免责特别约定
5. Special Conventions Liability Disclaimer

1.若出现下列任一状况致使支付宝或淘宝平台经营者无法向您提供本服务的，支付宝或淘宝平台经营者均不承担任何违约或赔偿责任，该状况包括但不限于：
5.1 If any of the following situations causes Alipay or Taobao platform operators to have no way to provide you with this Service, Alipay or Taobao platform operators shall not be held liable for any breach or compensation. Such situations include but are not limited to:

1）系统停机维护或升级；
5.1.1) The system being down for maintenance or upgrades;

2）因台风、地震、洪水、雷电或恐怖袭击等不可抗力原因；
5.1.2) Any force majeure such as typhoons, earthquakes, floods, lightning, or terrorist attacks.

3）您的电脑软硬件和通信线路、供电线路出现故障的；
5.1.3) Malfunctions in your computer’s hardware, software, communication lines or power lines.

4）您操作不当或未通过支付宝或淘宝平台经营者授权或认可的方式使用本服务的；
5.1.4) Your improper use of this Service or your use of this Service in a way not authorized or approved by Alipay or Taobao platform operators;

5）因病毒、木马、恶意程序攻击、网络拥堵、系统不稳定、系统或设备故障、通讯故障、电力故障、银行原因、第三方服务瑕疵或政府行为等原因。
5.1.5) Reasons such as viruses, Trojans, malware attacks, network congestion, system instabilities, system or device failures, communication failures, power failures, bank related causes, third-party service defects or government actions.

6）尽管有前款约定，支付宝或淘宝平台经营者将采取合理行动积极促使服务恢复正常。
5.1.6) Notwithstanding the preceding paragraphs, Alipay or Taobao platform operators shall take reasonable action to actively promote restoring services back to normal.

2. 您理解本协议所涉服务有赖于支付宝或淘宝平台经营者系统的准确运行及操作。若出现系统差错、故障或其他原因引发了展示错误、您或其他协议方不当获利等情形的，您同意其他协议方可以自行或通过第三方采取更正差错、扣划款项、暂停服务等适当纠正措施。
5.2 You understand that services involved in this Agreement are dependent upon the precise running and operations of Alipay or Taobao platform operator systems. In the event of a system error, failure or some other reason causes an error to display, and you or other parties under this Agreement receive unjust gains, etc., you agree that other parties, either by themselves or through a third-party, can take appropriate corrective actions to correct mistakes, deducted payments or suspended services.

六、其他
6. Other

1、您同意，支付宝及淘宝平台经营者有权根据您的风险程度及自身业务运营情况的需求而随时调整服务规则、中止/终止向您提供的全部或部分服务；支付宝有权调整您通过服务进行收款或交易的限额，并按照本协议约定方式书面通知您。
6.1 You agree that based on your risk level and their own business operation requirements, Alipay or Taobao platform operators have the right to adjust their service regulations at any time, and suspend/terminate providing you with all or part of their services. Alipay also has the right to adjust your money-collecting or transaction limits on the Service and will notify you in writing in accordance with this Agreement.

2、您理解并同意，在您使用本协议项下服务过程中，因支付宝及淘宝平台经营者原因导致您发生相应损失的，支付宝及淘宝平台经营者就因此给您造成的直接损失进行赔偿。在任何情况下，支付宝及淘宝平台经营者不就您的利润、商誉、资料损失或其他间接、附带、特别、衍生性的损失承担责任或赔偿性惩罚。
6.2 You understand and agree that Alipay or Taobao platform operators shall compensate your direct losses caused by them in the course of using the services expressed in this Agreement. Under no circumstances will Alipay or Taobao platform operators assume any liability or punitive damages for any profits, reputation, data loss, or any other indirect, incidental, special or consequential losses.

3、为有效提供服务，支付宝及淘宝平台经营者会不时对系统进行维护和升级。届时，支付宝及淘宝平台经营者仅需在支付宝或淘宝平台经营者网站发布公告即可。
6.3 To provide services effectively, Alipay or Taobao platform operators may maintain or upgrade their systems from time to time. At that time, Alipay or Taobao platform operators only need to publish such announcements on their websites.

4、您同意，因您违反本协议约定造成支付宝及淘宝平台经营者损失的，您应赔偿相应的损失或承担相应的违约责任。如您未主动赔偿的，您授权支付宝及淘宝平台经营者可从您名下的支付宝账户扣取相应款项，并就不足部分向您保留追索的权利。
6.4 You agree that you must compensate for consequential losses or assume consequential responsibilities for breach of contract when you violate conventions in this Agreement and in so doing cause Alipay or Taobao platform operators to suffer losses. If you do not take the initiative in compensating, you authorize Alipay or Taobao platform operators to deduct the corresponding amounts from Alipay accounts under your name. They also reserve the right to recourse to require you to make up for any deficiencies.

5、您同意并授权支付宝及淘宝平台经营者保留和使用您在本协议期间因业务合作所形成的相关数据信息，以供后续向您提供持续地、更优质的服务。
6.5 You agree and authorize Alipay or Taobao platform operators to reserve and use relevant data you generated in business cooperation during the term of this Agreement so that they can provide you continually higher quality services.

6、您同意，本协议之效力、解释、变更、执行与争议解决均适用中华人民共和国大陆地区法律，没有相关法律规定的，参照通用国际商业惯例和（或）行业惯例。如有纠纷，双方应努力友好协商解决。如协商不成，您同意在被告住所地有管辖权的人民法院审理。
6.6 You agree that the legal force, interpretation, alteration, implementation and dispute resolution of this Agreement shall all be governed according to the mainland laws of the People's Republic of China. In the absence of relevant legal provisions, please refer to universal international commercial practices and/or industry practices. If there is a dispute, both parties shall settle it through friendly negotiation. If negotiation fails, you agree to submit it to the competent people's court that has jurisdiction over the place where the defendant is domiciled.

7、本协议的纸质版本仅供参考，纸质版本与电子版本不一致的，以支付宝/淘宝平台经营者网站上展示的电子版本为准。本协议若附英文版本仅作为参考，所涉条款的文法、文义及解释以中文版本为准。
6.7 The paper version of this Agreement is for reference only. Electronic versions displayed on Alipay/Taobao platform operator websites shall prevail when there are any inconsistencies between paper versions and electronic versions. The English version of this Agreement is for reference only. The Chinese version shall prevail for all articles in matters relating to grammar, meaning, and interpretation.

8、本协议有效期自本服务开通之日起一年，本协议到期前和后续历次有效期届满前，除非协议各方任意一方以本协议约定的通知方式告知对方不再续签，否则本协议将自动续签一年，续签次数不限。
6.8. This Agreement shall be valid for one year from the date this Service is available, and shall be renewed automatically for a further term of one year without limitation on the number of renewals, unless either party hereto notifies, in any way as agreed herein, the other party of non-renewal before the expiration of this Agreement or of any subsequent renewal term.
如相关平台服务协议（如您为天猫商户，则为《天猫服务协议》；如您为阿里旅行（飞猪）商户，则为《阿里旅行（飞猪）服务协议》，且需共同遵守《支付宝服务协议》及相关规则）终止，则支付宝有权提前终止本协议项下服务
For example, if the service agreement of the relevant platform (Tmall Service Agreement for Tmall merchants or Alitrip (Fliggy) Service Agreement for Alitrip (Fliggy) merchants; and such merchants shall comply with the Alipay Service Agreement and related rules and regulations) is terminated, Alipay has the right to terminate the services under this Agreement in advance.
