Cross-border Payment and Settlement Service Agreement

本跨境支付结算服务由支付宝（中国）网络技术有限公司（简称“支付宝”）、及其境外合作机构【Alipay Singapore E-Commerce Private Limited】（简称“合作机构”）共同为您提供，本协议就上述跨境支付结算服务（简称“本服务”）有关事项进行约定。请您仔细阅读本协议（特别是字体加粗部分）。如您对本协议内容及页面提示信息有疑问，请勿进行下一步操作。您可通过支付宝、合作机构客服渠道进行咨询，以便我们为您解释和说明。如您通过网络页面点击确认或以我们认可的其他方式选择接受本协议的，即表示您与支付宝、合作机构已达成本协议并同意接受本协议的全部约定内容。本协议同时以中、英文书写，如内容不一致或有异议的，以中文文本为准。

This cross-border payment and settlement service is jointly provided by Alipay.com Co., Ltd. (hereinafter referred to as "Alipay") and its overseas partners [Alipay Singapore E-Commerce Private Limited] (hereinafter referred to as "Partners") for you, and this Agreement stipulates the matters related to the above cross-border payment and settlement service (hereinafter referred to as this "Service"). Please read this Agreement carefully (especially the words in bold). If you have any question about the content of this Agreement and the page prompt information, please do not proceed to the next step. You can consult us through the customer service channels of Alipay and the Partners so that we can explain and illustrate it for you. Clicking "OK" on the web page or choosing to accept this Agreement in other ways that we recognize signifies that you have reached this Agreement with Alipay and the Partners and agreed to accept the entire content of this Agreement. This Agreement is made both in English and Chinese. In case of any inconsistency or discrepancy between the English and Chinese versions, the Chinese version shall prevail.

1．定义

Definitions

1.1跨境交易平台/平台：指您申请入驻、为您与用户跨境交易提供网络经营场所、交易撮合等服务的境外电子商务交易平台。

"Cross-border Trading Platform/Platform" means the overseas e-commerce trading platform which you apply to join that provides network premises and the services such as transaction matching for the cross-border transactions between you and users.

1.2交易：您与平台用户所进行的符合中国人民银行、中国国家外汇管理局相关规定并且许可支付宝提供服务的跨境货物贸易或服务贸易。

"Transaction" means the cross-border trade in goods or services between you and platform users that complies with the relevant regulations of the People's Bank of China and the State Administration of Foreign Exchange of China and permits Alipay to provide services.

1.3跨境支付结算服务：您提出服务申请，支付宝、合作机构通过审核后，向您提供的境外结算、跨境支付结算和境内结算等服务，以便将您在平台交易所得资金跨境结算至中国境内（仅为本协议之目的，为避免疑义，不包括香港特别行政区、澳门特别行政区及台湾地区，下同）您指定的人民币账户。

"Cross-border Payment and Settlement Service" means that you file a service application, and Alipay and the Partners, after examining and verifying such application, provide you with the services, such as overseas settlement, cross-border payment and settlement, and domestic settlement, so as to pay, through cross-border settlement, your funds obtained from the transactions on the Platform to the RMB account within the territory of China (for the purpose of this Agreement only; for the avoidance of doubt, excluding Hong Kong Special Administrative Region, Macao Special Administrative Region, and Taiwan, the same below) that you designate.

2．服务内容及要求

Service content and requirements

2.1针对您与平台用户跨境交易所得资金，支付宝、合作机构在各自属地法律法规授权许可的业务范围内，为您提供跨境支付结算服务，其中支付宝提供跨境结算、中国境内结算服务或由其合作银行提供货币兑换服务，合作机构提供境外结算服务。

With respect to the funds obtained from the cross-border transactions between you and platform users, Alipay and the Partners will provide you with the cross-border payment and settlement service within the business scope permitted by the laws and regulations of their respective country or region, in which Alipay provides the services of cross-border settlement and domestic settlement in China or its cooperative banks provide the currency exchange service, and the Partners provide the overseas settlement service.

2.2 您申请开通服务，需向支付宝、合作机构提供必要的基本信息、资质证明信息等资料，包括不限于您的营业执照信息、身份证件信息（如您为自然人时）、法定代表人信息、证件有效期、联系方式、收款银行账户信息等及相应证件影印件，具体以您开通服务需提交的信息资料为准。如合作机构先向您搜集上述信息资料，您同意合作机构收集后将申请信息资料传递至支付宝。合作机构、支付宝收到信息资料并审核通过后，为您提供本服务。支付宝为您提供本服务将按照特约商户对您进行管理。

If you apply for opening a service, you need to provide Alipay and the Partners with basic information, qualification certificate information, and other necessary information, including but not limited to your information such as business license, identity certification (if you are a natural person), legal representative, validity periods of the corresponding certificates, contact details, and bank account, and the photocopies of the certificates. Specific information and materials shall be subject to the requirements of the service that you need to open. If a Partner collects the above information and materials from you first, you agree that the Partner will transfer the collected application information to Alipay. The Partner and Alipay will provide you with this Service after examining and verifying the received information and materials. Alipay will treat you as a special merchant when providing this Service to you.

2.3开通服务后，您可以向支付宝、合作机构发起支付结算指令并提供交易信息或者授权支付宝和合作机构向您指定的第三方收集交易信息（包括但不限于商品或服务名称、数量、货物种类或服务种类、订单号码、订单时间、交易币种、金额、交易双方及国别）, 以及支付宝、合作机构要求提供的证明贸易背景的相关单证材料。支付宝、合作机构根据您的支付结算指令将资金结算至中国境内您指定的人民币账户。

After the opening of the service, you can issue a payment and settlement instruction to Alipay and the Partners, and provide transaction information or authorize Alipay and the Partners to collect the transaction information (including but not limited to the name and quantity of the goods or service, category of the goods or service, order number, order time, transaction currency, amount, both parties to the transaction, and their respective country) from the third party that you designate, as well as the relevant documents and materials, supporting the transactions, required by Alipay and the Partners. Alipay and the Partners will pay the funds according to your payment and settlement instruction to the RMB account within the territory of China that you designate.

2.4支付宝通过合作银行为您进行跨境支付结算业务处理。

Alipay will handle the cross-border payment and settlement business for you through its cooperative banks.

3. 汇率与国际收支申报

Exchange rate and declaration of international receipts and payments

3.1 支付宝为您提供本服务，会向您明示由合作银行提供的汇率标价。您知悉并理解因汇率变动产生的损失需由您自行承担，支付宝不对汇率失变动导致的损承担相应责任。

Alipay will provide you with this Service, and inform you of the exchange rates provided by its cooperative banks. You acknowledge and understand that you shall bear the losses caused by any change in exchange rate and Alipay shall not bear the corresponding liability for such losses.

3.2 针对为您提供的跨境支付结算服务，支付宝将根据相关法律法规要求向中国人民银行或国家外汇管理局进行数据报送。

Alipay will submit data about the cross-border payment and settlement service that it provides for you to the People's Bank of China or the State Administration of Foreign Exchange in accordance with relevant laws and regulations.

4. 服务费用：

Service fee

4.1支付宝提供本服务暂不向您收取相应服务费。但基于业务发展情况，支付宝保留向您收取合理的交易服务费权利，并可根据业务发展需要对服务费进行调整。如收取服务费用的，支付宝会向您明示费用标准（含调整后的标准），具体以服务页面所列的收费公告或以其他方式列明的收费标准为准。

Alipay will not charge any service fee from you for the provision of this Service for the time being, provided that, based on business development, Alipay reserves the right to charge you a reasonable transaction service fee and may adjust the service fee according to the need of business development. If Alipay intends to collect the service fee, it will inform you of the fee standard (including the adjusted standard), and specific standard shall be subject to the charging announcement listed on the service page or the charging standard otherwise listed.

4.2本服务项下合作机构向您收取的服务费用由您和合作机构另行约定收取。

The collection of the service fee that a Partner under this Service collects from you shall be otherwise agreed upon by you and the Partner.

5. 您的权利和义务

Your rights and obligations

5.1您应当为根据中国法律法规规定具备相应民事行为能力的自然人、法人或其他组织，并已按照相关监管规定办理或者符合开展跨境交易或使用本服务所需的资质、登记、审批和条件等。如您未办理或者未符合的，支付宝、合作机构有权单方终止向您提供服务。

You shall be a natural person, a legal person, or any other organization with corresponding civil capacity as required by the laws and regulations of China, and have gone through the formalities for qualification, registration, examination and approval, or have satisfied the conditions, as required in carrying out cross-border transactions or using this Service in accordance with relevant regulatory provisions. If you fail to go through the formalities or to satisfy the conditions, Alipay and the Partners have the right to unilaterally terminate the service provided to you.

5.2您保证您所提交的所有信息和资料合法、真实、准确、完整，不存在违反法律、法规或涉嫌侵犯他人权利情形，且您使用本服务应符合相关法律法规及监管部门的规定，否则造成的损失需由您自行承担。如您提供信息发生变更，应在发生变更后五个工作日内书面通知支付宝、合作机构并提供变更后资料信息。支付宝、合作机构有权向您追究因您信息资料不真实、不准确完整及违法违规行为对支付宝、合作机构产生的法律责任、不利影响或者其它损失。

You guarantee that all information and materials that you submit are legal, authentic, accurate, and complete, and do not contain any violation of the laws or regulations or are not involved in any alleged infringement upon the rights of others, and further guarantee that your use of this Service shall comply with relevant laws and regulations and the regulations of the regulatory authorities, otherwise you shall bear the losses caused thereby. If the information that you provide changes, you shall notify Alipay and the Partners in writing within five working days after the change, and provide the changed information and materials.Alipay and the Partners have the right to investigate the legal liability for, adverse impact on or other losses of Alipay and the Partners caused due to your unauthentic, inaccurate, or incomplete information or violation of the laws or regulations.

5.3 您保证不以虚构交易、分拆等方式逃避监管，所提供的交易信息具有合法性、真实性、有效性、完整性和可追溯性，不向其他支付机构或银行重复提供该等信息用以交易信息的逐笔还原。

You guarantee that you will not evade regulation by means of fictitious transaction, splitting, etc., and that the transaction information provided is legal, authentic, valid, complete, and retroactive, and that you will not repeatedly provide such information to other payment institutions or banks for the restoration of the information of each transaction.

5.4您应保证合法、诚信经营，不从事非法经营（包括但不限于不正当竞争、虚假宣传、非法广告、商业欺诈或侵害其客户、消费者合法权益的活动）。您在使用本服务时应遵守相关各地法律法规，遵守中国人民银行和国家外汇管理局等国家相关机构的有关管理规定，不得利用本服务进行任何违法违规活动，包括但不限于洗钱、套汇、恐怖融资等。

You shall guarantee to operate in a lawful and good faith manner and not to engage in any illegal operations (including but not limited to unfair competition, false publicity, illegal advertising, commercial fraud, or activities that harm the legitimate rights and interests of your customers or consumers). When using this Service, you shall abide by the laws and regulations of relevant countries or regions, as well as the relevant administrative regulations of the People's Bank of China, the State Administration of Foreign Exchange, and other relevant state agencies, and shall not use this Service to carry out any activities that violate the laws or regulations, including but not limited to money laundering, exchange arbitrage, and terrorist financing.

5.5 您不得利用本服务从事任何有违所在国家或地区的法律法规及相关规定所禁止的产品/服务的销售，部分禁止销售的产品/服务范围见附录表格，支付宝有权根据监管规定及风险控制要求更新表格内容并及时通知您。

You shall not use this Service to sell any product/service that is prohibited by the laws, regulations, and relevant provisions of the country or region where you are located. The scope of some prohibited products/services is shown in the form of the appendix hereto. Alipay has the right to update the content of the form and timely notify you in accordance with the regulatory provisions and risk control requirements.

5.6 您承诺不会将服务项下的任何权利和义务转让给第三方。

You undertake not to assign any rights and obligations under this Service to a third party.

5.7 您理解并同意结算资金的具体到账时间取决于合作银行和中国境内支付清算系统业务安排。

You understand and agree that the specific arrival time of settlement funds depends on the business arrangements of the cooperative banks and the payment and clearing system within the territory of China.

6. 支付宝、合作机构权利和义务

The rights and obligations of Alipay and the Partners

6.1您提出服务申请或发起支付结算指令后，支付宝、合作机构有权根据各自属地法律法规、监管部门的相关要求进行审核。对于异常或者高风险业务以及审核未通过的服务申请，有权拒绝为您提供服务，如已收到待结算资金将退回至原付款账户，由此引发的汇率变动损失和服务费用需由您承担。

After you file a service application or issue a payment and settlement instruction, Alipay and the Partners have the right to examine and verify such application or instruction in accordance with the laws, regulations, and relevant regulatory requirements of their respective country or region. With respect to the abnormal or high-risk business and service applications that fail to pass the examination and verification, Alipay and the Partners have the right to refuse to provide services for you. If you have received the funds to be settled, you shall return them to the original payment account, and shall bear the losses caused by any change in exchange rate and related service costs.

6.2 为向您提供本服务，支付宝、合作机构需依据各自属地法律法规及监管规定履行外汇管理、反洗钱等合规要求，如您提供的信息和/或相关材料、交易行为不符合前述合规要求的，支付宝、合作机构有权要求您补全更新相应信息和/或相关材料，并中止或终止向您提供服务。

To provide you with this Service, Alipay and the Partners need to fulfill compliance requirements such as foreign exchange control and anti-money laundering in accordance with the laws, regulations, and regulatory provisions of their respective country or region. If the information and/or related materials provided or transactions concluded by you do not meet the aforesaid compliance requirements, Alipay and the Partners have the right to require you to complement and update the corresponding information and/or related materials, and suspend or terminate the provision of the service to you.

6.3 为了符合相关法律法规、监管要求，及为您提供本服务所需，您同意支付宝和/或合作机构在与履行监管要求的义务相关、提供本服务所需或便利本服务提供之目的，向合作银行和/或相关监管部门提供您的身份信息及交易信息，或为您进行相应的基本情况填报等，以便完成信息申报、监管报告并为您提供跨境支付结算服务。

To meet relevant laws, regulations, and regulatory requirements, and to provide you with this Service, you agree that Alipay and/or the Partners will provide your identity and transaction information to the cooperative banks and/or relevant regulatory authorities or fill out your basic information on behalf of you for purposes of complying with regulatory requirements, providing this Serivce, or facilitating the provision of this Service, so as to complete information declaration, and regulatory report and provide you with the cross-border payment and settlement service.

6.4您申请本服务递交的支付结算指令将成为支付宝、合作机构为您处理交易的不可撤销的指令。支付宝、合作机构有权按相关指令依据本协议约定对结算资金进行处理，且对按指令完成的结算资金处理免予承担责任，但因支付宝、合作机构故意或重大过失造成您损失的除外。

A payment and settlement instruction that you submit for an application for this Service will become an irrevocable instruction based on which Alipay and the Partners deal with a transaction for you.Alipay and the Partners have the right to deal with the settlement funds according to the relevant instructions and the provisions of this Agreement, and shall be exempted from the liability for the settlement funds handled according to the instructions, except for your losses caused by Alipay's and the Partners' intentional or gross negligence.

6.5您使用本服务结算资金对应的跨境交易类型、跨境交易金额需符合支付宝、合作机构各自属地法律法规及监管规定要求，对于不符合交易类型或者交易金额要求的交易，请您知悉并理解支付宝、合作机构无法为您提供本服务或者只能为您提供部分服务。支付宝、合作机构也有权对您使用本服务可结算资金设置单笔结算限额、累计结算限额，并有权基于政策、业务变化对结算限额进行调整，具体以服务页面提示为准。

The type and amount of a cross-border transaction corresponding to the funds that you settle through this Service shall conform to the requirements of the laws, regulations, and regulatory provisions of the countries and regions where Alipay and the Partners are located. With respect to the transactions that do not meet the transaction requirements for transaction type or amount, you are requested to acknowledge and understand that Alipay and the Partners cannot provide you with this Service or can only provide you with part of the service. Alipay and the Partners also have the right to set limits for single settlement and cumulative settlement for the funds that you can settle through this Service, and have the right to adjust the settlement limits based on the change in policy or business. Specific adjustment shall be subject to the prompt on the service page.

6.6 支付宝、合作机构有权根据风险防范，对疑似洗钱、疑似违反制裁合规、疑似恐怖融资、逃汇和套汇、以及疑似违反本协议约定等交易，或您销售的产品或提供的服务与相关法律、法规、规章或规定有所抵触时，及时采取调查核实、延迟结算或终止（中止）服务等措施，并有权解除本协议和向有关监管机关或司法机关报告，相应损失及责任需由您自行承担。

With respect to the transactions in which you are suspected of money laundering, violation of sanctions compliance requirements, terrorist financing, evasion and arbitrage of foreign exchange, as well as violation of this Agreement, etc., or the products sold or the services provided by you which conflict with relevant laws, regulations, rules, or provisions, Alipay and the Partners have the right to, according to risk prevention requirements, take timely measures such as investigation and verification, delayed settlement, and service termination (suspension), and have the right to rescind this Agreement and report to the relevant regulatory authority or judicial authority, and you shall bear the corresponding losses and liability.

6.7如您将本协议约定之外的交易资金通过本服务进行结算的，或您要求提供的跨境支付结算服务违反中国或相应属地法律法规政策，支付宝、合作机构有权拒绝和停止为您提供服务。

If you settle transaction funds other than those agreed in this Agreement through this Service, or the cross-border payment and settlement service that you request violates the laws, regulations, and policies of China or the corresponding country or region, Alipay and the Partners have the right to refuse and cease the provision of the service to you.

6.8本服务项下支付宝、合作机构仅为您提供跨境支付结算服务，除此以外不承担其它义务。支付宝、合作机构不介入您与平台用户、交易对象的合作关系及任何合作上的权利义务关系，也无义务承担您与任何合作方的纠纷及损失赔偿责任、法律责任。

Alipay and the Partners under this Service only provide you with the cross-border payment and settlement service, and do not assume any other obligations. Alipay and the Partners shall not interfere with your cooperative relationship with platform users or transaction objects and any right-obligation relationship in cooperation, and are not obligated to bear the compensation liability and legal liability for the dispute between you and any partner and the losses thereof.

6.9支付宝、合作机构将根据相关法律法规规定，对您的保密信息采取严格的保密措施。保密信息包括但不限于您的身份信息、支付信息、交易信息等。除用于履行本协议及获得您的授权外，支付宝、合作机构不得以其他目的使用保密信息。您知晓并同意支付宝和合作机构有权对您提交或者收集的信息按照法律法规和各自属地监管部门要求予以保存。

Alipay and the Partners will take strict security measures for your confidential information in accordance with relevant laws and regulations. Confidential information includes but is not limited to your identity information, payment information, and transaction information. Alipay and the Partners shall not use the confidential information other than for the purposes of performing this Agreement and obtaining your authorization. You knowledge and agree that Alipay and the Partners have the right to keep the information that you submit or collect in accordance with the laws and regulations and the regulatory requirements of the countries or regions where they are located.

6.10支付宝、合作机构不会利用本服务以及您的交易结算资金从事任何违法、违规，侵权或犯罪活动。

Alipay and the Partners will not use this Service and your transaction and settlement funds to engage in any illegal, rule-breaking, infringing, or criminal activities.

7.知识产权

Intellectual property rights

7.1 未经支付宝、合作机构书面许可，您不得擅自使用支付宝、合作机构的企业名称、商标、LOGO、中英文标识等。您不得在其所在地或他国注册与支付宝、合作机构相关、相似、相近的商标。

Without the written permission of Alipay and the Partners, you shall not use the enterprise names, trademarks, logos, and Chinese and English marks of Alipay and the Partners without authorization. You shall not register in your location or other countries any trademark that is related, similar, or close to Alipay and the Partners.

7.2 本合同项下，您所销售的商品或提供的服务不得侵犯第三方的知识产权,由此产生的侵权责任需由您自行承担，与支付宝、合作机构无关。

Under this Agreement, the goods sold or the services provided by you shall not infringe the intellectual property rights of any third party. The liability for infringement arising therefrom shall be borne by you and is irrelevant to Alipay and the Partners.

8．不可抗力和免责

Force majeure and exemption

您知悉并理解，因下列原因导致支付宝、合作机构无法正常提供服务，支付宝、合作机构免于承担责任：

You acknowledge and understand that Alipay and the Partners shall be exempted from any liability for failure to provide a service normally due to the following reasons:

1、支付宝、合作机构的系统停机维护或升级；

Alipay's or the Partners' system shutdown for maintenance or upgrade;

2、因台风、地震、洪水、雷电或恐怖袭击等不可抗力原因；

Force majeure, such as typhoon, earthquake, flood, lightning, and terrorist attack;

3、您的电脑软硬件和通信线路、供电线路出现故障的；

Failure of your computer software or hardware, communication lines, or power supply lines;

4、因您操作不当或通过非经我们授权或认可的方式使用本服务的；

Your improper operation or use of this Service in a way that is not authorized or recognized by us; and

5、因病毒、木马、恶意程序攻击、网络拥堵、系统不稳定、系统或设备故障、通讯故障、电力故障、银行原因、第三方服务瑕疵或政府行为等原因。

Reasons such as viruses, Trojans, malicious program attacks, network congestion, system instability, system or device failure, communication failure, power failure, bank-related reasons, third-party service flaws, and government actions.

尽管有前款约定，支付宝、合作机构将采取合理行动积极促使服务恢复正常。

Notwithstanding the preceding provisions, Alipay and the Partners will take reasonable actions to actively resume the service to normal.

9. 其他

Miscellaneous

9.1 支付宝、合作机构将不断努力为您提供更好的服务，但请您理解，在法律法规变化、监管机构要求、政策变化、风险管控、停机维护、网络攻击、电信故障等情况下，支付宝、合作机构可能单方暂停、中止或终止向您提供服务。

Alipay and the Partners will keep working to provide better service to you. However, you should understand that Alipay and the Partners might suspend, discontinue, or terminate the provision of the service to you unilaterally in the cases such as changes in laws or regulations, changes in regulatory requirements or policies, risk control, downtime maintenance, network attacks, and telecommunications failures.

9.2 支付宝、合作机构可根据国家法律法规变化及服务内容升级、保护用户权益等需要，不时修改本协议，一旦相关内容发生变更，支付宝、合作机构将会通过网站公告等方式通知您，上述变更自公告之日起7个日历天后生效。如您不同意修改后的协议内容，您有权停止使用相关服务；协商一致的，也可另行变更相关服务和对应协议内容。

Alipay and the Partners may modify this Agreement from time to time according to the changes in national laws and regulations and the needs such as service content upgrade and user's interests protection. Once the relevant content changes, Alipay and the Partners will notify you by website announcement and other means. The above changes will take effect within seven (7) calendar days as of the day when they are announced. If you do not agree to the modified content, you are entitled to stop using the relevant service. The relevant service and corresponding clauses may be changed separately through mutual agreement.

9.3 本协议的成立、生效、履行和解释，均适用中华人民共和国法律（仅为本协议之目的，为避免疑义，不包括香港特别行政区、澳门特别行政区及台湾地区法律）。各方在履行本协议的过程中，如发生争议，应协商解决。协商不成的，任何一方均可向被告住所地有管辖权的人民法院提起诉讼。

The conclusion, entry into force, performance, and construction of this Agreement shall be governed by the laws of the People's Republic of China (for the purpose of this Agreement only; for the avoidance of doubt, excluding the laws of Hong Kong Special Administrative Region, Macao Special Administrative Region, and Taiwan). If any dispute arises during both parties' performance of this Agreement, the parties shall settle such dispute through negotiation. If no agreement is reached through negotiation, either party may bring a lawsuit to the competent people's court in the place where the defendant is located.
