“Prepaid Card” User Service Agreement of Bank of Shanghai
本上海银行“消费卡”用户服务协议（以下简称“本协议”）是上海银行股份有限公司（以下简称“上海银行”）与用户（以下简称“您”）签署，就您使用上海银行“消费卡”服务（以下简称“本服务”）有关事项进行约定。在接受本协议之前，请您仔细阅读本协议的全部内容（特别是以粗体标注的内容）。如果您不同意本协议的任意内容，或者无法准确理解条款的含义，请不要进行后续操作。您通过网络页面点击确认或以其他方式选择接受本协议，即表示您与上海银行达成协议并同意接受本协议的全部约定内容。
The “Prepaid Card” User Service Agreement of Bank of Shanghai (hereinafter referred to as “this Agreement”) is signed between Bank of Shanghai Co., Ltd. (hereinafter referred to as "Bank of Shanghai") and the user (hereinafter referred to as “you”), with the aim to make an agreement on matters related to the “Prepaid Card” service of Bank of Shanghai (hereinafter referred to as “this service”). Before accepting this agreement, please carefully read the whole content of this Agreement (especially the content marked in BOLD). If you do not agree with any content of this agreement, or cannot accurately understand the meaning of the terms, please do not continue subsequent operations. After clicking “Confirm” on the Internet page or choosing to accept this agreement in other ways, you have reached an agreement with the Bank of Shanghai and agreed to accept all agreed contents of this agreement.
一、定义
I. Definition
1、“消费卡”：指根据您的申请，在您短期来华期间上海银行为您提供的境内移动支付专用电子卡片.该卡片为储值卡，仅支持您来华期间一次购卡,可多次使用您本人国际卡组织银行卡进行充值；您为消费卡开通支付宝快捷支付并将消费卡内资金用于中华人民共和国境内（不含香港、澳门特别行政区及台湾地区）。
1. “Prepaid Card” service refers to the special domestic mobile payment electronic card with specific face value provided by Bank of Shanghai during your short-term visit to China according to your application. This card is a stored value card, which you can only apply once during your visit to China. You can use your bank card issued by International Card Organization for multiple-time recharging, launch Alipay quick payment for the Prepaid Card and consume the funds in the Prepaid Card in the People's Republic of China (excluding Special Administrative Regions of Hong Kong and Macao, and Taiwan).
2、购卡：指您首次自愿申请开通上海银行“消费卡”服务时，通过服务页面提交相关上海银行认可的信息并审核通过后，上海银行根据您选择的购卡充值金额（人民币）生成您的“消费卡”;在您单次来华（不含香港、澳门特别行政区及台湾地区）停留期间仅可成功购买一次上海银行“消费卡”。
2. Prepaid Card purchase: When you voluntarily apply for the "Prepaid Card" service of Bank of Shanghai for the first time, Bank of Shanghai will issue "Prepaid Card" according to the selected amount (RMB) after you submitting the relevant information approved by Bank of Shanghai through the service page and passing the examination; during your each period of staying in China (excluding Hong Kong, Macao and Taiwan), you can only have one chance to purchase the "Prepaid Card" of Bank of Shanghai.
3、充值：在您成功购卡后，可按需对“消费卡”进行固定金额或任意金额人民币充值，具体允许的充值金额以服务页面展示为准。
3. Recharge: After you successfully purchased the "Prepaid Card", you can recharge the "Prepaid Card" with a fixed amount or any amount in RMB as required. The specific limit is subject to the requirements on the service page.
4、国际卡组织：指威士国际组织（VISA International）及万事达卡国际组织（MasterCard International）两大组织，及大来信用卡有限公司（Diners Club）、JCB日本国际信用卡公司（JCB）两家专业信用卡公司，您在本服务中使用的境外银行卡需属于前述国际卡组织银行卡。上海银行有权根据业务情况调整适用本服务银行卡的国际卡组织范围，具体以页面提示为准。
4. International Card Organization refers to two organizations including Visa International and MasterCard International, and two professional credit card companies including Diners Club and JCB. The overseas bank card you use in this service must belong to one of the aforementioned international card organizations or credit card companies. Bank of Shanghai has the right to adjust the scope of international card organizations applicable to this service according to the business situation, and the specific details shall be subject to the page prompt.
5、支付宝快捷支付：指您向上海银行、支付宝中国（网络）技术有限公司（简称“支付宝”）申请为您购买的消费卡开通可通过支付宝使用您消费卡内余额便捷消费付款的一种支付方式。您可通过支付宝客户端付款二维码或使用支付宝客户端扫描商户（包括便利店、餐馆、商超、电商平台等支持此支付方式的卖家）收款二维码以及其他支付宝客户端支持的付款方式，并在您授权的情况下将您消费卡内资金转移至商户处，完成付款。
5. Alipay Quick Payment refers to a payment method that allows you to use the balance of Prepaid Card through Alipay to realize convenient payment after applying for Bank of Shanghai and Alipay China (Network) Technology Limited (Alipay). You can use the payment methods such as showing Alipay client payment QR code, scanning merchant collection QR code (including convenience store, restaurant, supermarket, e-commerce platform and other sellers supporting this payment method) or other payment methods supported by Alipay, and also allows the funds in your Prepaid Card to be transferred to the merchant under your authorization to complete the payment.
6.用户：指上海银行认可的、合法拥有外国护照并取得中华人民共和国入境签证的自然人。后续上海银行如调整用户范围的，将在具体服务页面通知您。
6. User refers to a natural person recognized by Bank of Shanghai and legally holding a foreign passport and obtaining an entry visa of the People's Republic of China. In the future, if Bank of Shanghai adjusts the user scope, it will notify you on the service page.
二、服务内容
II. Services
1.1 服务申请开通
1.1 Service Application and Opening
您可以通过支付宝客户端的相关小程序（以下简称“小程序”）使用本服务，您需要同时遵守该小程序信息技术服务提供方（以下简称“技术服务方”）的服务协议。
You can use this service through the small programs of Alipay client (hereinafter referred to as “applet”). You need to comply with the user service protocol of information and technology service vendor (hereinafter referred to as” IT service vendor”) in the applet at the same time.
您需要根据上海银行的要求提供必要的信息，以便上海银行为您进行服务开通验证。您可以通过小程序服务页面提交或确认前述必要信息（例如：您本人的姓名、联系方式、生日、上海银行认可的有效证件信息、上海银行认可的有效签证页信息、国际卡组织银行卡信息），具体信息字段以页面提示为准。技术服务方将根据您提交或确认的内容向上海银行进行信息同步，请您务必如实、准确、完整的提交或确认相关信息，以免为您带来不便。
You need to provide the necessary information according to the requirements of Bank of Shanghai, so that Bank of Shanghai can verify and allow you to open the service. You can submit or confirm above necessary information (for example, your name, contact information, birthday, valid certificate information approved by Bank of Shanghai, valid visa page information approved by Bank of Shanghai, and bank card information issue by International Card Organization) through the applet service page. The specific information is subject to the page prompt. IT service vendor will synchronize the information with Bank of Shanghai according to the content you submitted or confirmed. Please be sure to submit or confirm the relevant information truthfully, accurately and completely, so as to avoid inconvenience to you.
上海银行为您成功开通“消费卡”服务后，您同意上海银行通过小程序告知您的消费卡信息，您可通过小程序相关服务页面进行查看。为了保护您的信息安全，技术服务方将在服务页面向您脱敏展示相关信息。
After Bank of Shanghai successfully opens the “Prepaid Card” service for you, you agree that Bank of Shanghai will inform you of your Prepaid Card information through applet. You can also check it on the relevant service page of the applet. To protect your information security, IT service vendor will display relevant desensitization information to you on the service page.
在小程序上线相应国际卡组织银行卡更换功能后，如您使用该功能更换用于购卡及充值的国际卡组织银行卡的，您同意技术服务方向上海银行同步您更换的银行卡信息，以便上海银行为您更换购卡及充值银行卡信息。
After the applet adds the replacement function of replacing the bank card issued by International Card Organization, you can use it. If you use this function to replace the bank card used for Prepaid Card purchase and recharging, you agree that the IT service vendor will synchronize the bank card information you replaced with Bank of Shanghai, so that Bank of Shanghai can update the bank card information for you.
您同意上海银行根据服务开展需要留存您提供的要素信息，并由上海银行对要素信息进行核验。您开通本服务还需遵守以下约定：
You agree that bank of Shanghai will retain the information you provide according to the needs of service, and Bank of Shanghai will verify the information. You need to abide by the following agreement when you apply this service:
（1）您必须年满18周岁（或以上，具体视您所在司法辖区的法定成年年龄而定），并且是本服务所开放的国家或地区之一的居民，才有资格使用本服务。
(1) You must be at least 18 years old (or above, depending on the legal age of majority in your jurisdiction) and a resident of one of the countries or regions operating the service before you can use the service.
（2）您必须在您申请开通本服务时列出您正确的居住国家或地区。
(2) You must list your correct country or place of residence when you apply for this service.
（3）您知晓并同意上海银行仅为您在中华人民共和国境内提供本服务，且您使用本服务须在您中国入境签证或有效身份证件的有效期内。
(3) You know and agree that Bank of Shanghai will only provide this service for you in the people's Republic of China, and your China entry visa or valid identity document must be within the validity period when you using this service.
（4）要创建并维持本服务的有效性，您必须向上海银行提供正确、有效且合法的信息。您在此授权上海银行（直接或通过第三方）为身份验证、预防诈骗及安全防范等目的核验并处理您的信息。对于核验未通过的，上海银行有权不对您开放本服务或暂停对您提供本服务。若该数据处理需要在中国境外进行，您在此授权上海银行（直接或通过第三方）为此等目的对您的信息进行任何必要的跨境传输。
(4) To create and maintain the effectiveness of this service, you must provide correct and effective information to Bank of Shanghai. You must guarantee the accuracy and legality of the information you provide. You hereby authorize Bank of Shanghai (directly or through a third party) to verify and process your information for purposes of authentication, fraud prevention and security precaution. If the verification fails, Bank of Shanghai has the right not to provide the service or suspend the service to you. If such processing of your data needs to take place outside of China, you hereby authorize Bank of Shanghai (directly or through a third party) to conduct any necessary cross-border transfers of your information for such purposes.
（5）若您提供的信息或有效期限发生变化，需要您自行向上海银行更新这些信息，否则上海银行可能会对您本服务的提供进行调整、限制、中止或者终止。
(5) If the information provided by you or the validity period change, you need to update the information to Bank of Shanghai, otherwise Bank of Shanghai may adjust, restrict, suspend or terminate the provision of this service.
（6）您须在本协议约定的情况下使用本服务。若发现您有违反本协议约定或其他不符合中华人民币共和国相关法律法规的行为，上海银行有权暂停对您提供本服务。
(6) You must use the service as agreed in this agreement. If you are found to be in violation of this agreement or have other acts that do not conform to the relevant laws and regulations of the People's Republic of China, Bank of Shanghai has the right to suspend the provision of this service to you.
（7）您必须是消费卡的实际拥有人，并且仅代表您自己使用本服务。您须妥善保管消费卡的相关信息，不出借、不转让、不售卖本服务内容给第三方，否则上海银行有权暂停对您提供本服务，且由此产生的一切后果由您自行承担。
(7) You must be the actual owner of the Prepaid Card and only use the service on your own behalf. You must keep the relevant information of the Prepaid Card properly, and do not lend, transfer or sell the service to a third party. Otherwise, Bank of Shanghai has the right to suspend the provision of service to you, and you shall bear all the consequences arising therefrom.
（8）您知悉本服务存在服务有效期，并同意上海银行在服务到期后关闭本服务相关功能。
(8) You are aware that the service has a valid period, and agree that Bank of Shanghai will close the relevant functions of the service after the expiration of service.
（9）为了使用本服务，您需同时开通支付宝快捷支付进行境内消费，您同意上海银行将您的身份信息、联系方式以及消费卡信息同步至支付宝，用以为您开通支付宝快捷支付。您在服务期限内须遵守上海银行、支付宝相关快捷支付业务协议约定（具体快捷支付协议内容见本服务签约页面），并须确保您支付宝快捷支付功能正常，否则您消费卡余额将无法在境内进行消费支付。
(9) To use this service, you need to open Alipay quick payment for domestic consumption. You agree that Bank of Shanghai can synchronize your identity information, contact information and Prepaid Card information to Alipay, so that you can open Alipay quick payment. During the service period, you must abide by the agreement of Bank of Shanghai and Alipay related quick payment business (refer to the service signing page for details of specific quick payment agreement), and ensure that your Alipay quick payment is normal, otherwise your Prepaid Card balance cannot be used in the territory.
1.2购卡、充值 （该功能服务页面或称“loading service”，具体表述以服务页面为准）

1.2 Purchasing Card
您可在小程序选择或输入人民币金额，向上海银行发起消费卡购卡或充值申请，技术服务方将向上海银行同步您提交的指令。上海银行根据您提交的指令，从您在小程序中提供的本人国际卡组织银行卡内扣划相应款项并兑换成人民币后，划入您的消费卡。
You can choose or input the amount of RMB in the applet and apply to Bank of Shanghai for Prepaid Card purchase or recharging, the IT service vendor will synchronize your instructions with Bank of Shanghai. According to the instructions submitted by you, Bank of Shanghai will deduct the corresponding amount from the bank card issued by International Card Organization provided by you in the applet, convert it into RMB, and then transfer it into your Prepaid Card.
上海银行对您购卡及充值金额做限额控制，具体以服务页面提示为准。您购卡或充值时，上海银行根据您购卡或充值的人民币金额，按国际卡组织提供的实时汇率划扣您本人国际卡组织银行卡内相应款项并以人民币形式存放在消费卡内。根据业务变化调整，上海银行可自行决定对您的消费卡充值金额及次数加以限制。
Bank of Shanghai shall limit the Prepaid Card purchase and recharge, the details shall be subject to the prompt on the service page. When you purchase the card or recharge, Bank of Shanghai will deduct the corresponding amount from your bank card issued by International Card Organization on the basis of real-time exchange rate provided by the international card organization and deposit it in your Prepaid Card in the form of RMB. According to the adjustment of business, Bank of Shanghai may limit the recharge amount and frequency at its own discretion.
如果您消费卡购卡充值的款项发生退单、撤销或因其他原因失效，购卡或充值交易可能会在晚些时候被撤销，并表示您原先发起的该笔交易结束，您可根据需要重新发起购卡交易申请。
If the fund you used to purchase the Prepaid Card or recharge is refunded, cancelled or invalid for other reasons, the transaction of Prepaid Card purchase or recharge may be cancelled at a later time, and it means that the transaction you originally initiated ends. You can re-launch the card purchase transaction application as required.
除上述购卡、充值方式外，请您务必不要尝试使用任何银行卡或支付工具向您本人或他人消费卡进行转账或汇款，否则交易将失败且上海银行将对您上述操作导致的任何后果免于承担责任。
In addition to above-mentioned ways of Prepaid Card purchase and recharge, please do not attempt to use any bank card or payment tool to transfer or remit money to your own or other's Prepaid Card, otherwise the transaction will fail and Bank of Shanghai will be exempt from any responsibility for any consequences caused by your above operations.
购卡充值成功后，您可通过支付宝快捷支付消费，除前述快捷支付消费外，本协议项下本服务不支持其他消费支付方式，您也不能使用本服务用于转账、购买理财、发放红包、向其他银行账户或支付账户充值，您超过范围使用本服务导致的相应后果需由您自行承担。后续如增加其他消费支付方式、服务使用场景，上海银行将另行通知。
After successful finishing Prepaid Card purchase and recharge, you can pay for the consumption through Alipay quick payment. In addition to above quick payment consumption, the service under this agreement does not support other consumer payment methods. You can not use this service to transfer, purchase financial products, send red envelopes, and recharge other bank accounts or payment accounts. If you use the service beyond the service scope, you shall bear the corresponding consequences. In the future, if other consumption payment methods and services are added, Bank of Shanghai will notice you separately.
1.3消费卡余额
1.3 Balance of Prepaid Card
如您在消费卡中有余额的，上海银行会替您进行资金保管，并且不会将您的资金用于运营开支或任何支出。如果发生破产，上海银行不会主动将您的资金提供给其债权人。对于您余额中的资金，您不会获得利息或其他收益。
If Prepaid Card has balance, Bank of Shanghai will keep the fund for you and will not use your fund for operating or any expense. In case of bankruptcy, Bank of Shanghai will not offer your funds to its creditors. You will not receive interest or other earnings on the funds in your balance.
1.4退款及服务有效期
1.4 Refund and Service Validity
您使用本服务的有效期自您开通服务之日起【90】日。服务有效期内您不能随意发起退款。原则上，上海银行仅受理您“消费卡”购卡、充值、支付宝快捷支付交易申请。服务有效期未满前，若您需将消费卡内余额进行退款，您需向上海银行单独发起申请并配合上海银行要求提供必要的信息，否则上海银行有权拒绝您的退款申请且免于承担任何法律责任。退款时因汇率变动造成的相应汇兑损失及其他因您自身退款造成损失需由您自行承担。
The period of validity of enjoying the service is [90] days from the date of your opening the service. You are not allowed to send a refund during the service period. In principle, Shanghai bank only accepts your applications of Prepaid Card purchase, recharge and Alipay quick payment transaction. Before the expiration of service period, if you need to refund the balance in the Prepaid Card, you need to separately apply to Bank of Shanghai and cooperate with Bank of Shanghai to provide necessary information; otherwise Bank of Shanghai has the right to refuse your refund application and is exempt from any legal liability. The corresponding exchange loss caused by exchange rate change and other losses caused by your own refund shall be borne by you.
超过服务期限后您将不能再使用本服务，并由上海银行将您消费卡内的剩余款项根据届时国际卡组织汇率折算成您扣款银行卡本币款项，自动退还至您该国际卡组织银行卡。本服务终止后，您据此开通的支付宝快捷支付服务也同时终止。
After the service period expires, you will not be able to use the service any more, and Bank of Shanghai will convert the remaining amount in your Prepaid Card into the currency amount of your debit card according to the exchange rate of the international card organization at that time, and automatically return it to your bank card.After this service is terminated, the Alipay quick payment service that you have opened will simultaneously terminate.
1.4服务查询
1.4 Service Query
您知晓并同意，上海银行将记录您的消费卡购卡、充值、支付交易等记录，以方便您查询。您可在小程序查询消费卡的有效期、购卡及充值明细、人民币余额等信息。您同意上海银行将您开通服务、卡片状态信息以及账户余额传递至技术服务方以便您在小程序便捷查看。
You know and agree that Bank of Shanghai will record your records of Prepaid Card purchase, recharge and payment transaction for your convenience. You can query the validity period, purchase and recharge details, and RMB balance of the Prepaid Card through applet. You agree that Bank of Shanghai has right to transfer your service, card status information and account balance to the IT service vendor so that you can easily check it through applet.
三、服务费用
III. Service Charge
本服务项下上海银行有权向您收取一定的服务费，服务费按照您购卡及充值人民币金额的一定比例，在您提交购卡或充值申请时按届时国际卡组织汇率一次性直接从您国际卡组织银行卡扣收。上海银行有权调整服务费率、提供服务费优惠政策，具体服务费率及优惠政策信息以服务页面为准。
Bank of Shanghai will has right to charge you a certain service fee for this service. The service fee is based on a certain proportion of the amount you purchased Prepaid Card purchase and recharge will be 5% of the card purchase amount and is charged in RMB at one time. When you submit the application of Prepaid Card purchase and recharge, it will be directly deducted from your bank card issued by International Card Organization according to the exchange rate of the international card organization at that time. Bank of Shanghai has the right to adjust the service rate and provide preferential policies for service fee. The specific service rate and preferential policy information shall be subject to the service page.
对于您在服务有效期满未使用并自动退回至您国际卡组织银行卡的退款，上海银行不再退还已收取的服务费（如有）。您申请对消费卡发起购卡或充值即表示您同意上海银行向您收取的服务费用及相关规定。
Bank of Shanghai will not refund the collected service fee for the refunds that you do not use at the end of the service period and automatically return to your bank card issued by International Card Organization (if have). When you apply for purchasing or recharging Prepaid Card, you agree to the service fees and relevant regulations charged by the Bank of Shanghai.
四、双方权利义务
IV. Rights and Obligations of Both Parties
1、您应确保申请本服务时填写、提供的信息、资料合法、完整、准确、真实，如您填写信息有误、不真实、不完整导致服务不能开通或造成您其他损失的需由您自行承担。您需确保您提交的信息为您本人所有，如您使用本服务被其他人主张权利或侵犯其他人权利，您需依法承担相应责任，导致上海银行及相关权利人损失的，您还需依法承担赔偿责任。同时上海银行有权中止或终止向您提供服务。
1. You shall ensure that the information and materials you fill in and provide when applying for this service are legal, complete, accurate and true. If you fill in the information incorrectly, untruthfully or incompletely, which causes the service not to be opened or other losses to you, you shall bear the responsibility. You need to ensure that the information you submit is owned by yourself. If the service you use are claimed by other people or violation of the rights of others, you need to bear corresponding liabilities according to law. If losses are caused to Bank of Shanghai and relevant obligees, you also need to bear compensation liability according to law. What’s more, Bank of Shanghai has the right to suspend or terminate the services provided to you.
2、为向您提供本服务，上海银行需依据相关法律法规及监管规定履行外汇管理、反洗钱等合规要求，如您提供信息、交易行为不符合前述合规要求的，上海银行有权要求您补全更新相应信息或暂停、中止、终止向您提供服务。

To provide this service to you, Bank of Shanghai shall fulfill the compliance requirements of foreign exchange management and anti money laundering in accordance with relevant laws, regulations and regulatory provisions. If your information and transaction do not meet above compliance requirements, Bank of Shanghai has the right to require you to complete and update the corresponding information or, to stop, suspend or terminate the service to you.
3、若相关法律法规及监管规定要求上海银行必须暂停、中止或终止向您提供服务，上海银行有权根据相关法律法规及监管规定要求执行，且免予承担责任。

If the relevant laws, regulations and regulatory provisions require that Bank of Shanghai must stop, suspend or terminate the service provided to you, Bank of Shanghai has the right to perform in accordance with the relevant laws and regulations and regulatory requirements, and is exempt from liability.
4、您使用本服务过程中，将国际卡组织银行卡相应款项以人民币形式转入消费卡，相应结算服务由上海银行提供。超过服务期限后您将不能再使用本服务，您消费卡内的剩余款项上海银行将根据届时国际卡组织汇率折算成您扣款银行卡本币，并退还至您该银行卡。上海银行提醒您因汇率变动产生的汇兑损失需由您自行承担。
4. In the process of enjoying service, you will transfer the corresponding amount in the bank card issued by International Card Organization into the Prepaid Card in the form of RMB, and the corresponding settlement service will be provided by Bank of Shanghai.You will no longer be able to enjoy the service after the service period expires. The remaining money in your Prepaid Card will be converted into the currency of bank card according to the exchange rate of international card organization at that time, and then returned to your bank card. Bank of Shanghai reminds you that the exchange loss caused by exchange rate change should be borne by you.
5、您使用本服务需根据页面提示提供您本人的国际卡组织银行卡信息，并仅能从您提供的银行卡划扣您消费卡充值款项，如因您境外银行的付款限制或您境外银行其他业务规则要求，导致您无法使用本服务的，上海银行免予承担责任。
5. If you use this service, you need to provide your own bank card information issued by International Card Organization according to the prompts on the page, and can only deduct your recharge amount of Prepaid Card from the bank card you provide. If you cannot use this service due to the payment restrictions or other business rules of your overseas bank card, Bank of Shanghai will be exempted from liability.
五、其他事项
V. Miscellaneous
1、上海银行重视对您的信息保护，遵循合法、正当、必要的原则，严格保护及处理您的信息。
1. Bank of Shanghai attaches great importance to the protection of your information, follows the principles of legality, legitimacy and necessity, strictly protects and uses your information.
2、因下列原因导致上海银行无法正常提供本协议项下的服务，使您无法使用或无法正常使用本服务时，上海银行将免予承担损害赔偿责任，该状况包括但不限于：
2. Bank of Shanghai will be exempted from liability for damages if it is unable to provide the services under this agreement and makes you unable to use or use the services normally due to the following reasons, including but not limited to:
（1）因台风、地震、海啸、洪水、战争、雷电或恐怖袭击等不可抗力之因素，造成上海银行系统不能正常执行业务的；
(1) Due to force majeure such as typhoon, earthquake, tsunami, flood, war, lightning or terrorist attack, the system of Bank of Shanghai is unable to perform its business normally.
（2）您的电脑软硬件、移动设备和通信线路、供电线路出现故障的；
(2) The software and hardware of your computer, mobile equipment, communication lines and power supply lines are in fault;
（3）您操作不当或通过非上海银行授权或认可的方式使用服务的；
(3) You improperly operate or use the service in a way not authorized or approved by Bank of Shanghai.
（4）因病毒、木马、恶意程序攻击、网络拥堵、系统不稳定、系统或设备故障、通讯故障、电力故障、银行原因 、第三方服务瑕疵或政府行为等原因，造成服务中断或者延迟；
(4) Service interruption or delay is caused by virus, Trojan horse, malicious program attack, network congestion, system instability, system or equipment failure, communication failure, power failure, bank reason, third party service defect or government behavior, etc.
（5）其他不可归因于上海银行的原因。
(5) Other reasons not attributable to Bank of Shanghai.
尽管有前款约定，上海银行将采取合理行动积极促使服务恢复正常。
In spite of the preceding provisions, Bank of Shanghai will take reasonable actions to actively promote the return of services to normal.
3、为了进一步改善用户体验，上海银行将会持续开发新服务，为您提供版本升级、功能升级等服务和内容更新，这些更新将会持续同步在本协议当中。如上海银行对本协议进行变更，将通过公告或小程序端消息等方式予以通知，该等变更自通知载明的生效时间开始生效。如您不同意修改后的协议内容，您有权停止使用相关服务；协商一致的，也可另行变更协议内容。
3. To further improve the user experience, Bank of Shanghai will continue to develop new services, provide you with version and function upgrade, and content updates, which will continue to be synchronized in this agreement.If Bank of Shanghai changes this agreement, it will give notice through announcement or applet, and such changes will take effect from the effective time specified in the notice. If you do not agree with the revised agreement, you have the right to stop using the relevant services; If consensus is reached, the contents of the agreement may be changed separately.
4、法律适用与争议解决
4. Applicable law and dispute settlement
（1）因本协议引起的或与本协议有关的争议，均适用中华人民共和国法律（仅为本协议之目的，为避免疑义，不包括香港特别行政区、澳门特别行政区及台湾地区法律）。
(1) Any dispute arising from or in connection with this Agreement shall be governed by the laws of the People's Republic of China (for the purpose of this agreement only, for the avoidance of doubt, excluding the laws of Hong Kong, Macao and Taiwan).
（2）因本协议引起的或与本协议有关的争议，上海银行可与您协商解决。协商不成的，任何一方均有权向被告方所在地法院提起诉讼。
(2) Any dispute arising from or in connection with this Agreement may be settled by Bank of Shanghai through consultation with you. If consultation fails, either party shall have the right to bring a lawsuit to the court where the defendant is located.
（3）本协议同时以中、英文书写，具有同等的法律效力，如内容不一致或有异议的，以中文合同文本为准。
(3) This agreement has Chinese and English versions, and both of them have the same legal effect. In case of any inconsistency or objection, the Chinese version shall prevail.
